Offerings and capital raises

POST`https://api.sec-api.io/reg-a/form-1z`

Search every Form 1-Z exit report and 1-Z/A amendment published on SEC EDGAR since 2015. The XML data of each filing is converted to JSON and made searchable by any item, such as securities sold, price per security, service provider fees, issuer net proceeds and the number of record holders at certification.

## Authentication

Send the API key either as a header or as a query parameter. The header is preferred; the query parameter exists for cases where a header cannot be set, such as opening a URL directly in a browser.

Authorization: required header

The API key on its own. Do not prefix it with Bearer or any other word.

Example `Authorization: YOUR_API_KEY`

token: optional query parameter

The API key, appended to the URL. Use this only when a header is not possible.

## Request body

A JSON object. Content-Type must be application/json.

query: required string

The search expression in Lucene syntax. Every field listed under Searchable fields can be used, combined with AND, OR, NOT, range queries, wildcards and nested conditions.

Example `summaryInfoOffering.issuerNetProceeds:>20000000`

from: string, Maximum 10000

Index of the first result to return, used for pagination. Increment by the value of size to page through results.

Default `"0"`

size: string, Maximum 50

Number of exit reports to return in one response. A larger value is rejected with status 400.

Default `"50"`

sort: array of object

Sort order. Each item maps one field to an order object, for example [{ "filedAt": { "order": "desc" } }].

Default `[{ "filedAt": { "order": "desc" } }]`

order: string

Either asc or desc.

## Searchable fields

Every field below can be used inside query. 50 fields are searchable, and they match the structure of the objects returned in the response.

| `fileNo` | EDGAR file number tying related filings together (e.g. "024-12457") |
| `formType` | Form type — "1-A", "1-A/A", "1-A POS", "1-A-W", "1-K", "1-K/A", "1-Z", "1-Z/A" |
| `filedAt` | Date the filing was accepted by EDGAR |
| `periodOfReport` | Reporting period covered by the filing (fiscal year end on annual reports) |
| `cik` | Issuer CIK (leading zeros removed) |
| `ticker` | Issuer ticker symbol at time of filing (if any) |
| `companyName` | Issuer legal name |
| `item1.issuerName` | Exact legal name of the issuer as on its charter |
| `item1.city` | Issuer city |
| `item1.stateOrCountry` | Issuer state / country |
| `item1.zipCode` | Issuer ZIP / postal code |

## Response

A JSON object. Nested attributes are collapsed; expand one to see its fields.

total: object

How many exit reports matched the query.

value: integer

Number of matching exit reports, capped at 10000. A value of 10000 with relation gte means more than 10000 filings matched.

relation: string

Either eq, meaning value is exact, or gte, meaning value is a floor.

data: array of object

The matching Form 1-Z and 1-Z/A filings, at most size per response and never more than 50.

id: string

System-internal unique identifier of the filing record.

accessionNo: string

Accession number of the filing, for example 0001683168-26-002068.

fileNo: optional string

EDGAR file number that ties the filings of one offering process together, for example 24R-00102. It is null on filings that carry no file number.

formType: string

Form type, either 1-Z or 1-Z/A.

filedAt: string

Timestamp EDGAR accepted the filing, ISO 8601 in Eastern Time, for example 2026-03-23T06:02:42-04:00.

periodOfReport: optional string

Reporting period covered by the filing, YYYY-MM-DD. Exit reports cover no reporting period, so the field is absent on every Form 1-Z filing currently in the dataset.

cik: string

CIK of the filer, leading zeros removed.

ticker: optional string

Ticker of the issuer at the time of filing. It is an empty string when the issuer is not publicly traded.

companyName: string

Legal name of the issuer as provided in the filing.

item1: object

Item 1 of the form: the name and principal executive office of the issuer, and its commission file numbers.

issuerName: string

Exact legal name of the issuer as specified in its charter.

street1: string

Primary street address of the principal executive office of the issuer.

street2: optional string

Second line of the street address, such as a suite or floor number.

city: string

City of the principal executive office.

stateOrCountry: string

State or country of the principal executive office, for example NC.

zipCode: string

Postal code of the principal executive office.

phone: string

Contact phone number of the principal executive office.

commissionFileNumber: array of string

Commission file numbers assigned to the issuer, for example 024-12157. An issuer with several qualified offerings reports several numbers.

summaryInfoOffering: optional array of object

Item 2 of the form: the close-out summary of the offering, covering securities sold, price, service providers, fees and net proceeds. Absent when the filer reports a suspension of the reporting obligation only.

offeringQualificationDate: string

Date the offering statement was qualified, formatted MM-DD-YYYY.

offeringCommenceDate: string

Date the offering commenced, formatted MM-DD-YYYY.

offeringSecuritiesQualifiedSold: number

Amount of securities qualified for sale in the offering.

offeringSecuritiesSold: number

Total number of securities actually sold in the offering.

pricePerSecurity: number

Price assigned to each security in the offering.

portionSecuritiesSoldIssuer: number

Portion of total securities sales attributable to the own sales efforts of the issuer.

portionSecuritiesSoldSecurityholders: number

Portion of total securities sales attributable to selling securityholders.

underwrittenSpName: optional array of string

Name of the underwriter service provider for the offering.

underwriterFees: optional number

Fee amount charged by the underwriter service provider.

salesCommissionsSpName: optional array of string

Name of the service provider managing sales commissions.

salesCommissionsFee: optional number

Fee amount charged for sales commissions services.

findersSpName: optional array of string

Name of the finder service provider involved in the offering.

findersFees: optional number

Fee amount charged by the finder service provider.

auditorSpName: optional array of string

Name of the auditor service provider engaged for the offering.

auditorFees: optional number

Fee amount charged by the auditor service provider.

legalSpName: optional array of string

Name of the legal service provider retained for the offering.

legalFees: optional number

Legal fee amount charged by the service provider.

promoterSpName: optional array of string

Name of the promoter service provider associated with the offering.

promotersFees: optional number

Promotional fee amount charged by the promoter service provider.

blueSkySpName: optional array of string

Name of the Blue Sky compliance service provider, when one was used.

blueSkyFees: optional number

Fee amount related to Blue Sky compliance services.

crdNumberBrokerDealer: optional string

CRD number of the broker-dealer associated with the offering, for example 000330314.

issuerNetProceeds: number

Net proceeds received by the issuer after fees and expenses are deducted.

clarificationResponses: optional string

Additional clarifications or responses the issuer provided about the offering.

certificationSuspension: optional array of object

Item 3 of the form: the certification that suspends the reporting obligation of the issuer, naming the class of securities and the number of record holders.

securitiesClassTitle: string

Title of the class of securities covered by the exit report, for example Common Stock.

certificationFileNumber: array of string

Commission file numbers linked to the certification of suspension.

approxRecordHolders: number

Approximate number of record holders as of the certification date.

signatureTab: array of object

Signature block of the filing, naming the signatory, their title and the signing date.

cik: string

CIK of the reporting entity, with leading zeros kept.

regulationIssuerName1: string

Primary regulation issuer name as recorded in the filing.

regulationIssuerName2: optional string

Secondary regulation issuer name, when one applies.

signatureBy: string

Name of the individual signing the report on behalf of the issuer.

date: string

Date the report was signed, formatted MM-DD-YYYY.

title: string

Title of the signatory within the organisation of the issuer.

## Status codes

| --- | --- |
| `200` | Success. The response holds total and data. |
| `400` | The request body could not be parsed, the Lucene expression in query is malformed, or size is greater than 50. |
| `403` | The API key is missing, or it is not valid. |
| `429` | Too many requests. Slow the request rate and retry. |
| `500` | Server error. Retry, and report it if it persists. |
