Offerings and capital raises

POST`https://api.sec-api.io/form-c`

Search every Form C filing published on SEC EDGAR since May 2016, when XML submission of Form C became mandatory. Form C is the disclosure document a company files to launch a Regulation Crowdfunding campaign, and the API returns the issuer, the offering terms and the financial disclosures as structured JSON.

## Authentication

Send the API key either as a header or as a query parameter. The header is preferred; the query parameter exists for cases where a header cannot be set, such as opening a URL directly in a browser.

Authorization: required header

The API key on its own. Do not prefix it with Bearer or any other word.

Example `Authorization: YOUR_API_KEY`

token: optional query parameter

The API key, appended to the URL. Use this only when a header is not possible.

## Request body

A JSON object. Content-Type must be application/json.

query: required string

The search expression in Lucene syntax, written as field:value. Every field listed under Searchable fields can be used, combined with AND, OR, ranges and wildcards.

Example `offeringInformation.securityOfferedType:"Common Stock"`

from: string, Maximum 10000

Index of the first result to return, used for pagination. Increment by the value of size to page through results.

Default `"0"`

size: string, Maximum 50

Number of Form C filings to return in one response.

Default `"50"`

sort: array of object

Sort order. Each item maps one field to an order object, for example [{ "filedAt": { "order": "desc" } }].

Default `[{ "filedAt": { "order": "desc" } }]`

order: string

Either asc or desc.

## Searchable fields

Every field below can be used inside query. 80 fields are searchable, and they match the structure of the objects returned in the response.

## Response

A JSON object. Nested attributes are collapsed; expand one to see its fields.

total: object

How many Form C filings matched the query.

value: integer

Number of matching filings, capped at 10000. A value of 10000 with relation gte means more than 10000 filings matched.

relation: string

Either eq, meaning value is exact, or gte, meaning value is a floor.

data: array of object

The matching Form C filings, at most size per response and never more than 50.

id: string

Internal unique identifier of the filing record.

accessionNo: string

Accession number of the Form C filing, for example 0001277575-24-000006.

fileNo: string

SEC file number that tracks filings belonging to the same offering process, for example 020-34763.

formType: string

Form type of the filing: C, C-W, C-U, C-U-W, C/A, C/A-W, C-AR, C-AR-W, C-AR/A, C-AR/A-W, C-TR or C-TR-W.

filedAt: string

Timestamp EDGAR accepted the filing, ISO 8601 in Eastern Time, for example 2026-03-31T18:45:06-04:00.

periodOfReport: optional string

Reporting period covered by the submission, YYYY-MM-DD. On annual reports this is the fiscal year end.

cik: string

CIK of the reporting entity, leading zeros removed.

ticker: string

Ticker of the filer at the time of filing, when the filer is publicly traded. An empty string otherwise.

companyName: string

Legal name of the issuer as given in the filing.

issuerInformation: object

Information about the issuer and the filing itself: amendment and progress flags, the legal structure, the address, the website and the intermediary.

isAmendment: boolean

True when this filing amends an offering statement submitted earlier.

natureOfAmendment: optional string

Description of the nature of the amendment, setting out the material changes that may require investor reconfirmation.

progressUpdate: optional string

Short update on the progress of the offering, reported on progress update submissions.

issuerInfo: object

Core identifying information of the issuer: its name, legal status and registered address.

nameOfIssuer: string

Full legal name of the issuer as it appears on the form.

legalStatus: object

Legal organisation of the issuer: type, jurisdiction and incorporation date.

legalStatusForm: string

Legal form of the entity: Corporation, Limited Partnership, Limited Liability Company, General Partnership, Business Trust or Other.

legalStatusOtherDesc: optional string

Description of the legal form when it does not fall under one of the standard categories.

jurisdictionOrganization: string

Jurisdiction, state or country, where the entity is organised.

dateIncorporation: string

Date the entity was incorporated or organised. The original date string from the XML file, normally MM-DD-YYYY, for example 09-17-2025.

issuerAddress: object

Primary physical address of the issuer, used for correspondence and legal notices.

street1: string

First line of the street address.

street2: optional string

Second line of the address, when one is reported.

city: string

City of the address.

stateOrCountry: string

State or country of the address.

zipCode: string

Postal or ZIP code of the address.

issuerWebsite: optional string

Official website URL of the issuer.

isCoIssuer: boolean

True when a co-issuer takes part in the filing.

coIssuers: optional array of object

The co-issuers, when there are any. Each item mirrors the structure used for the primary issuer.

isEdgarFiler: string

Whether the co-issuer is registered with EDGAR.

coIssuerCik: string

CIK of the co-issuer.

nameOfCoIssuer: string

Legal name of the co-issuer.

coIssuerLegalStatus: object

Legal organisation details of the co-issuer.

legalStatusForm: string

Legal form of the entity: Corporation, Limited Partnership, Limited Liability Company, General Partnership, Business Trust or Other.

CIK of the intermediary, the funding portal or broker-dealer that routes the offering.

commissionFileNumber: optional string

SEC file number of the intermediary handling the filing.

crdNumber: optional string

CRD number of the intermediary involved in the offering.

offeringInformation: object

The offering itself: intermediary compensation, security type, target and maximum amounts, pricing, oversubscription terms and the deadline.

compensationAmount: string

Compensation paid to the intermediary for conducting the offering, reported as an amount or a percentage range, for example 7 - 13 percent.

financialInterest: optional string

Any other direct or indirect interest the intermediary holds in the issuer, or the arrangement for acquiring one.

securityOfferedType: string

Type of security offered: Common Stock, Preferred Stock, Debt or Other.

securityOfferedOtherDesc: optional string

Description of the security when securityOfferedType is Other, for example Class B Common Stock.

noOfSecurityOffered: number

Target number of securities offered in the transaction.

price: number

Price per security, or the fixed value used to determine the offering price.

priceDeterminationMethod: optional string

How the price of the security was determined, when it is not a fixed value.

offeringAmount: number

Target offering amount stated in the filing, in USD.

overSubscriptionAccepted: boolean

Whether oversubscriptions are accepted for the offering.

overSubscriptionAllocationType: optional string

Allocation method used when oversubscriptions are accepted: Pro-rata basis, First-come, first-served basis, or Other.

descOverSubscription: optional string

Explanation of the oversubscription process when the allocation type is Other.

maximumOfferingAmount: optional number

Maximum offering amount in USD, reported when it differs from the target offering amount.

deadlineDate: string

Deadline by which the target offering amount must be met. The original date string from the XML file, normally MM-DD-YYYY, for example 04-23-2026.

annualReportDisclosureRequirements: object

Financial disclosures required for annual reporting: employee count, assets, cash, debt, revenue, taxes, net income and the offering jurisdictions.

currentEmployees: number

Number of current employees reported in the filing.

totalAssetMostRecentFiscalYear: number

Total assets at the end of the most recent fiscal year.

totalAssetPriorFiscalYear: number

Total assets at the end of the fiscal year before the most recent one.

cashEquiMostRecentFiscalYear: number

Cash and cash equivalents for the most recent fiscal year.

Signatures on the filing, covering the issuer and any further signatories.

issuerSignature: object

Signature given by the issuer or by its authorised representative.

issuer: string

Name of the issuer, or of the representative signing.

issuerSignature: string

The signature of the issuer as it was entered.

issuerTitle: string

Title or position of the signing representative.

signaturePersons: array of object

Further signatories, each with their signature, title and signing date.

personSignature: string

The signature of the signatory as it was entered.

personTitle: string

Title or position of the signatory.

signatureDate: string

Date the signature was given. The original date string from the XML file, normally MM-DD-YYYY, for example 03-31-2026.

## Status codes
