Form 15-12G is a certification and notice of termination of registration under Section 12(g) of the Securities Exchange Act of 1934, or suspension of the duty to file reports under Sections 13 and 15(d). It is filed pursuant to Rules 12g-4, 12h-3, and 15d-6 when the number of holders of record falls below applicable thresholds. The dataset includes all Form 15-12G and Form 15-12G/A filings submitted to EDGAR from January 1994 to present. Form 15-12G/A filings represent amendments to previously filed certifications. For each accession number, a metadata file and all documents in the original EDGAR submission are included except image files. Each filing typically contains the issuer's name and CIK, the class of securities being deregistered, the rule provision relied upon, the approximate number of holders of record, and a certification that conditions for termination or suspension are satisfied.
