Form TTW Files Dataset

Form TTW filings contain solicitation-of-interest materials submitted under Rule 254 of Regulation A, the "test the waters" provision of the Securities Act of 1933. This submission type allowed issuers to gauge public interest in a proposed Regulation A offering before filing an offering statement. The dataset includes all Form TTW and Form TTW/A filings submitted to EDGAR from February 2002 through May 2014, after which the submission type was superseded by the adoption of Regulation A+ in June 2015. Form TTW/A filings represent amendments to previously submitted materials. For each accession number, a metadata file and all documents in the original EDGAR submission are included except image files. Each filing typically contains the solicitation-of-interest document, required disclaimers stating that no money is being solicited and that indications of interest are non-binding, and issuer identification including CIK and company name.
