Find which companies filed confidentially for an IPO

Lists confidential draft registration statements as they are unsealed, pairs each with the public S-1 or F-1 that followed and its pricing outcome, and separates first-time IPO filers from confidential follow-ons by companies that already report.

Prompt

Which companies filed confidentially for an IPO recently?

Output

Quick note on the mechanic, since it shapes the answer: a confidential DRS is not visible on EDGAR while it is confidential. It is published only when the issuer publicly files its registration statement, and it then appears with its original submission date. So the SEC data tells you who filed confidentially only in retrospect, plus how long the private review ran.

DRS submissions unsealed since May 2026, the real IPO names:

Unsealed DRS with no public S-1 or F-1 yet in the window checked: newcleo, Private Bancorp of America, Versa Bancorp, SLR Secured Specialty Lending Fund, and the WISeKey and WISeSat spin-off entities.

Two things worth flagging in the aggregate (178 DRS and DRS-A filings May 1 to Aug 12, 90 distinct filers):

  • Half are not IPOs. 45 of the 90 filers already file 10-Ks and 10-Qs: MicroVision, MagnaChip, Curis, InnovAge, System1, Katapult, Outlook Therapeutics, Moleculin. Those are confidential follow-ons, which the SEC opened up to all issuers in 2025. Filtering on formType:"DRS" alone will badly overstate the IPO pipeline.
  • Review time is running about three to six weeks from DRS to public S-1 for this cohort, then about three to four weeks to pricing.

When to use this prompt

  • Building an IPO pipeline view before the bankers publish one.
  • Measuring how long SEC review is taking in the current window, which moves with staffing and market conditions.
  • Checking whether a specific private company has started the process.

What you get back

  • Each unsealed DRS paired with the public S-1 or F-1 that followed and the pricing outcome, so the pipeline and the completions are visible together.
  • The distinction that matters most: confidential IPO submissions versus confidential follow-ons by companies that already report. Roughly half of DRS filers fall in the second group.
  • Elapsed review time from DRS to public filing to pricing, as a range rather than a single case.

Variations

  • Extend the window back further to compare review times across market conditions.
  • Restrict to first-time filers by excluding any CIK with a prior 10-K, which removes the follow-ons.
  • Filter to F-1 only for foreign private issuers.
  • Ask for the full filer list as a spreadsheet rather than the named subset.

Filings used

  • 178 Form DRS and DRS-A submissions unsealed between May 1 and August 12, 2026, from 90 distinct filers.
  • The Form S-1 and F-1 registration statements that followed each unsealed DRS.
  • Prior 10-K and 10-Q filings, used to identify which filers already report and are therefore filing confidential follow-ons rather than IPOs.
