Targets exclude Semrush until June 2026 and include it from then. Ending FY2025 ARR was revalued from $25.20bn to $25.66bn in December 2025, primarily for exchange rates.
ARR growth target has been 10.2% since December 2025 and includes Semrush ($0.48bn) since June 2026. Derived from filed balances, the target equals year end ARR of $28.28bn and Q4 net new ARR of $0.78bn against $0.40bn in Q3. On the same derivation growth is 8.3% if Semrush ARR is held at the $0.48bn disclosed for Q2 FY2026 (assumption). On the earnings call of 11 June 2026 management attributed the unchanged target to faster freemium user growth and deferred Creative Cloud price changes.
Cost of subscription revenue rose 24% in Q3 FY2026 against revenue growth of 12.9%. Repurchase payments were $6.82bn in nine months of FY2026 against $11.28bn in FY2025, and shares outstanding fell from 413m to 391m over the nine months.
Table 3.3 Trends and risks named by management in MD&A and Item 1A
| Theme | What management states |
|---|---|
| Generative AI products | Firefly models and a partner model ecosystem power Creative Cloud; Acrobat AI Assistant gives conversational answers within and across PDFs; Acrobat Studio, released August 2025, unites Acrobat, Express and AI agents. Subscription revenue growth of 16% in Q3 FY2026 for Business Professionals & Consumers is attributed to Acrobat. |
| AI ARR metrics | AI influenced ARR passed $5bn in Q3 FY2025; AI first ARR exceeded $500m in Q2 FY2026 and grew more than 150% year on year in Q3 FY2026 (8-K, 11 June 2026; 8-K, 10 September 2026). AI influenced ARR covers offerings and tiers "enhanced by AI features" and its scope is updated periodically. |
| AI cost of delivery | Cost of subscription revenue includes AI inferencing costs and R&D includes AI training costs. Q3 FY2026 cost of subscription revenue was $633m, up 24%, of which 22 points from hosting and data center costs; R&D was $1.29bn, up 18%. Nine month G&A rose 30%, of which 8 points loss contingency and 6 points a $70m goodwill impairment. |
| Competition | Management expects competition to continue to intensify, names new entrants and AI or cloud native companies as competitors, and expects more competition as AI changes how solutions "are accessed and used" (Item 1A). |
| Pricing and renewals | Revenue is recognised over terms of 1 to 36 months; Item 1A states that lower sales or higher attrition in a period may reach reported results in future periods. |
| Tax rate | Q3 FY2026 effective tax rate was 22.5% against 19.0% (MD&A rounds to 22% and 19%), attributed to a lower benefit from non US operations and tax expense on SBC. Management anticipates lower cash taxes from FY2026 under the 2025 U.S. Tax Act. |
| Liquidity and debt | Working capital was ($2.73bn) after $1.35bn of senior notes due February and April 2027 moved to current; management intends to refinance. Commercial paper outstanding was $250m at face value ($248m carrying value). |
| Macro and currency | A weaker U.S. dollar added about $40m to Q3 FY2026 revenue and $280m over nine months. Long term effect of inflation, rates and trade regulation is described as uncertain. |
