1 Revenue & Business Model

  • Storyline: AMD moves from PC and console chips to data center GPUs and CPUs sold in rack scale systems, with customer warrants, inventory and debt supporting the ramp. Chapters 2 to 4 cover the three revenue drivers: Data Center (Instinct GPUs and EPYC CPUs), Client and Gaming, and Embedded.
  • Three segments. Data Center sells Instinct GPUs, EPYC server CPUs, DPUs, AI network cards and data center FPGAs; Client and Gaming sells Ryzen PC processors, Radeon graphics and semi custom chips for game consoles; Embedded sells FPGAs, adaptive SoCs and embedded CPUs to industrial, automotive, communications, aerospace and defense customers. All other holds amortization of acquisition intangibles ($2.25bn in FY2025), stock based compensation and acquisition costs.
  • FY2025 segments: Data Center $16.64bn (48.0% of revenue), 21.7% operating margin; Client and Gaming $14.55bn, 19.6%; Embedded $3.45bn, 36.0%; All other ($4.01bn).
  • Revenue FY2021 $16.43bn to FY2025 $34.64bn, a 20.5% CAGR incl. the Xilinx acquisition of Feb 2022; TTM Q3 2026 $45.44bn; 9M 2026 $35.17bn, +44.3%.
  • Regions FY2025 (customer billing location): United States $11.36bn (32.8%), China incl. Hong Kong $7.75bn (22.4%), Taiwan $5.19bn, Singapore $4.28bn, other $6.06bn. Taiwan and Singapore billing is largely contract manufacturers and distributors. No customer was 10% of revenue in FY2024 or FY2025.
  • Acquisitions: ZT Systems bought on 31 Mar 2025 for $4.4bn; its manufacturing business was sold on 27 Oct 2025 for about $2.4bn and is shown as discontinued operations, while the rack design team stays in Data Center. MEXT bought in Q2 2026; World Labs and Taalas pending.

Guarantees and commitments for customer buildoutsNew FY2025 factor. Data center lease guarantee for a commercial partner up to $4.1bn over 15 years; after 27 Jun 2026, investment commitments up to $5.0bn through FY2028 and data center leases with $9.5bn of payments over up to 16 years (10-Q Q2 2026).
CompetitionStandalone Intel and NVIDIA factors folded into one competition factor that now names Arm based architectures and customers building their own AI chips (10-K FY2025).
Customer concentration and demandGPU agreements are concentrated in OpenAI, Meta and Anthropic; the FY2025 10-K adds customers' access to data center capacity, energy and capital, and requests for vendor financing or deferred payment.
PC and console demandGaming revenue (40.4%) in Q3 2026; management plans PC units down by double digits in 2027 on memory costs (Q3 2026 call).
Acquisitions and intangiblesGoodwill $25.47bn and acquisition intangibles $15.10bn at 26 Sep 2026, mainly Xilinx; World Labs (about $8.2bn in shares) and Taalas expected to close in Q4 2026.

How risk factors changed

  • Comparison: 10-K FY2025 filed 3 Feb 2026 acc 0000002488-26-000018 against 10-K FY2024 filed 5 Feb 2025 acc 0000002488-25-000012.
  • China is named 30 times in the FY2025 risk factors against 14 a year earlier, and tariff 12 times against 5, with the export control factor growing from 1,004 to 2,084 words and to 2,483 words by the Q2 2026 10-Q.
  • Named competitor factors for Intel and Nvidia were folded into one competition factor that now also names Arm based architectures and customers' own AI chips.
  • New text links demand to customers' ability to secure data center capacity, energy and capital, and a new factor covers AMD guarantees, leases and capacity commitments that support customer buildouts.
  • Total risk factor length rose from 18,015 words (44 factors) in FY2024 to 18,968 words (42 factors) in FY2025 and 20,063 words in the Q2 2026 10-Q.
  • AI is named 57 times across 10 factors in FY2025 against 58 times across 11 factors in FY2024.

ChangeRisk factorWhat changed
AddedObligations under guarantees and commercial commitmentsNew factor on long term capacity purchase agreements, financial guarantees and leases that support customers' or partners' infrastructure buildout, exposing AMD to counterparty financing, project delay and insolvency risk.
RemovedIntel dominance of the microprocessor marketStandalone Intel factor dropped; its text on Intel's market position, aggressive pricing and customer incentives now sits inside the general competition factor.
RemovedNvidia dominance of the GPU marketStandalone Nvidia factor on its Data Center GPU share and proprietary software ecosystem dropped; competition from Nvidia is now covered in the general competition factor.
RemovedCompleting the ZT Systems acquisitionRemoved after the ZT Systems acquisition closed in 2025 and its manufacturing business was sold to Sanmina.
RewordedCompetitive and rapidly evolving marketsRewritten to absorb the Intel and Nvidia factors and add Arm based architectures in consumer, commercial and data center markets and customers developing their own chips for AI workloads; body cut from 612 to 499 words.
RewordedDemand depends on end market conditionsAdds AI customers' access to data center capacity and energy, construction delays in data center buildouts, and customers lacking capital who ask vendors for financing or deferred payment; drops the 2024 Embedded inventory example.
RewordedOrdering and shipment uncertaintiesAdds longer manufacturing lead times and the April 2025 US license rule on MI308 exports to China, which led to about $800m of inventory and related charges in Q2 2025, and notes some licenses were later granted.
RewordedGray market salesExpanded from 202 to 290 words to cover a multi tier distribution network, misuse of pricing programs and diversion into restricted markets, reexports or prohibited end users despite screening and audits.
RewordedClimate changeHeading drops 'long term'; text shifts from physical climate events to customers' multi year process to secure energy, water and power capacity, which could reduce their purchases from AMD.
RewordedExport controls, tariffs and trade measuresBody doubled from 1,004 to 2,084 words: adds the Jan 2025 AI Diffusion Rule and its planned rescission in May 2025, the Apr 2025 MI308 license requirement ($800m Q2 2025 charges, about $360m later released), the Aug 2025 US expectation of 15% of licensed MI308 China revenue, and higher US import tariffs.
RewordedDeferred tax assetsBody cut from 189 to 115 words, removing the text on Section 382 and 383 and dual consolidated loss limits on net operating losses.
RewordedPotential tax liabilitiesAdds the Jan 2026 OECD side by side package exempting US based groups from parts of the Pillar Two global minimum tax, described as generally favorable but not yet enacted by each country.
RewordedImpairment of tangible and intangible assetsRemoves the named Xilinx, Pensando and Silo AI acquisitions and the reference to a stock price decline after the annual goodwill test; body cut from 322 to 261 words.
RewordedAttracting and retaining key employeesHeading changes from 'qualified personnel' to 'key employees'; adds US immigration law and controls as a risk to hiring and retaining technical staff.
