Key findings
  • S-1/A rolls the financial statements forward to 30 Sep 2026 and adds Q3 2026; offering terms are still blank: no price range, share count, proceeds or listing date. Comparison figures refer to the S-1 of 26 Oct 2026.
  • Q3 2026 revenue $17.0bn, +1,127% year on year and +46.7% on Q2 2026; 9M 2026 revenue $33.2bn against $2.55bn, +1,206%.
  • Q3 2026 operating loss $567m against Q2 2026 operating income of $974m. The S-1/A attributes it to $5.0bn of compute under short term commitments, which costs more than compute under multi year commitments, and $2.0bn of non cash donation matching charges; price reductions in new model versions and contractual discounts lowered revenue by about $600m from Q2 to Q3 2026.
  • Net loss 9M 2026 $104.0bn and Q3 2026 $23.3bn, mainly non cash fair value charges below operating loss: $94.3bn change in fair value of convertible notes, derivative liabilities and SAFEs in 9M 2026 (Q3 $21.9bn), which the S-1/A attributes mainly to the higher fair value of outstanding convertible promissory notes as the enterprise valuation rose; $10.4bn other expense (Q3 $1.6bn), mainly $11.0bn from recognising and remeasuring the partner financing arrangements (Google and Amazon commitments to buy Series G‑2 preferred stock and the AMD put option on Class N stock), partly offset by a $783m warrant rights gain; operating loss $1.3bn; interest income $2.4bn.
  • Adjusted operating income, the company's non GAAP measure, $2.5bn in Q3 2026 (15% margin) and $4.1bn in 9M 2026 (12%); it excludes stock based compensation, non cash charitable contributions and the Bartz settlement.
  • Balance sheet at 30 Sep 2026: cash and short term investments $131.8bn, stockholders' deficit $149.9bn, remaining performance obligations $13.8bn; the $15.0bn credit facility is undrawn.
  • Aggregate committed spend about $895.4bn, blank in the S-1: $213.8bn subject to termination rights or contingent conditions, $69.8bn due within 12 months and $447.5bn before 31 Dec 2030, the rest mostly 2031 to 2045; arrangements estimated at $150bn to $175bn without a fixed commitment are excluded. About $100.2bn was signed after 30 Sep 2026.
  • Counterparties: Google minimum spend $114.5bn to $121.3bn; Microsoft end date May to Jun 2033; Broadcom assigned part of the 2026 lease to a special purpose financing entity, and its note purchase agreement was amended on 26 Oct 2026.
  • Offering and governance: a new retail selling group (Schwab, Fidelity, Robinhood, Trade‑PMR, SoFi, E*TRADE); Class F voting power unchanged at 50.1%; consumer plans now include Ultra; about 47m RSUs granted after 30 Sep 2026 vest on service only.
  • Risk factors: no heading added or removed. New body text covers the Responsible Scaling Policy threshold of dramatically accelerated progress, human review of certain R&D decisions, compute providers that rely on outside financing, and government revenue below 2%.

Figures are read from the Form S-1/A (Amendment No. 1) of 2 Nov 2026 and the Form S-1 of 26 Oct 2026 of Anthropic, PBC (central index key 2130357), both retrieved via sec-api.io and compared section by section, incl. the exhibit index of the S-1/A with the refiled Ex 3.1 and Ex 4.4. No Form 8-K, free writing prospectus or other filing was made under the same central index key between the two filings. Peer figures in chapter 6 are the filed figures used in the original S-1 post of 27 Oct 2026 on sec-api.io, linked in chapter 2. Values per share are derived from the Series H price of May to June 2026 ($589.0095 per preferred share at the filed 10:1 conversion ratio) and from the Initial Public Benefit Issuance of 846.8m shares, filed as 5% of fully diluted shares at 30 Jun 2026, as no price range is filed. Accession numbers appear in the Sources appendix.

Per the S-1/A, the fair value change arises mainly from the higher fair value of outstanding convertible promissory notes as the enterprise valuation rose; other expense arises mainly from the initial fair value recognition and fair value change of the partner financing arrangements (Google and Amazon commitments to buy Series G‑2 preferred stock, AMD put option), $11.0bn in 9M 2026. 9M 2026 operating cash flow was $6.6bn.

Cost structure and profitability

  • Compute and infrastructure is the largest cost: $18.8bn in 9M 2026 (57% of revenue); Q3 2026 $9.9bn, 58% of revenue against 148% in Q3 2025 and 48% in Q2 2026.
  • By function in 9M 2026: cost of revenue 14.5% of revenue against 70.6% in 9M 2025; R&D 57.9% against 141.2%; sales and marketing 19.9%; G&A 11.5%.
  • Revenue per dollar of compute: 2.08x in Q2 2026 and 1.72x in Q3 2026 (derived), against 0.40x in Q1 2025.
  • Other operating and administrative $3.6bn in Q3 2026 against $1.0bn in Q2 2026, incl. $2.0bn of non cash donation matching charges.

5 MD&A & Management Commentary

Management discussion in the S-1/A

  • Q3 2026 operating loss: management attributes the $567m loss to $5.0bn of compute under short term commitments and $2.0bn of non cash donation matching charges; adjusted operating income rose from $2.2bn to $2.5bn.
  • Compute timing: compute is procured 12 to 18 months ahead and is largely fixed near term; compute expense rose to 58% of revenue in Q3 2026 from 48% as additional compute was delivered. Management expects operating results to fluctuate from quarter to quarter with the amount of incremental compute received.
  • Revenue drivers named: higher usage across model versions; price reductions of about $600m from Q2 to Q3 2026. Model versions released in the six months to 30 Sep 2026 produced over 80% of Q3 2026 revenue (same statement in the S-1).
  • Donation matching: expense of $2.1bn in 9M 2026, about 6% of operating expenses (FY2025 $541m, about 4%); 28.0m Class N shares were issued in Oct 2026 to settle the obligation accrued at 30 Sep 2026.
  • Other income: other expense of $309m, $8.4bn and $1.6bn in Q1 to Q3 2026, mainly from the initial recognition and fair value change of the partner financing arrangements (Google and Amazon Series G‑2 purchase commitments and the AMD put option).
  • Interest rate sensitivity: a 100 basis point move changes the market value of cash equivalents and investments by $310m (S-1: not material).

9 Risk Factors

  • No risk factor heading was added or removed in the S-1/A. Six headings carry wording edits only (for example "our Company Purpose" became "the Company Purpose" in three public benefit corporation risks). The changes of substance are in the body text, listed below with S-1/A page numbers.
Table 9.1 Risk factor body changes in the S-1/A
RiskDisclosure and change
Pace of AI progress (p30)New: internal estimates and expectations for future models indicate Anthropic may imminently meet its Responsible Scaling Policy definition of “dramatically accelerated progress attributable to AI”; no current model is designated as exceeding the threshold and further reports will follow.
Safety measures (p53)New: Anthropic is considering updates to the Responsible Scaling Policy to require human review and approval of certain R&D decisions as models perform more of that work.
Human supervision (p6, p189)New in Summary and Business: Anthropic does not expect to safely use Claude to fully autonomously design and build successive frontier models without meaningful human supervision.
Compute supply (p32)New: compute providers and infrastructure partners that depend on third party financing or credit support may delay, reprice, reduce or not deliver contracted capacity.
Model capabilities (p50)Capabilities “may have already advanced, and may continue to advance” (S-1: “could advance”).
Government sales (p73)Revenue from government agency contracts less than 2% of revenue in each period (S-1: about 1%).
Concentration (p58)Cloud marketplace revenue 44% of 9M 2026 revenue; cloud providers 52% of receivables at 30 Sep 2026; top five customers about 25% of 9M 2026 revenue.
Compute commitments (p34, p66)Aggregate committed spend $895.4bn, $69.8bn due within 12 months and $447.5bn before 31 Dec 2030 (blank in the S-1).
Equity awards (p67)RSUs granted after 30 Sep 2026 vest on service only over about four years (S-1: service and performance).
