10 Risk Factors

  • Item 1A of the FY2025 Form 10-K holds 61 risk factors against 62 in the IPO prospectus (38,718 words against 36,319): 4 added, 5 removed and 10 materially reworded. With no earlier 10-K, the prospectus is the base. Added factors cover billing beyond per seat subscriptions and third party providers beyond AWS; removed factors were specific to the IPO.
  • Q1 2026 10-Q (14 May 2026) added one factor: AI agents and other third party tools on the platform “could reduce the number of paid seats required for a given level of output” and circumvent pricing and packaging controls. It also stated that the US federal government had identified Anthropic as a supply chain risk and directed federal agencies to stop using its products, including Claude, “the large language model on which we have built the AI features” in Figma's government offerings.
  • Q3 2026 10-Q (4 Nov 2026): the lock up expired on 7 Aug 2026; OFAC “issued us a Cautionary Letter. No monetary penalties were assessed”; commitments with a limited number of foundational AI model providers may require Figma to “pay for capacity or services we do not use”; and in Feb 2026, after the US federal government identified Anthropic as a supply chain risk, Figma replaced Claude, on which it had built the AI features embedded in its government offerings, with alternative models.
Table 10.1 Risk factors with filed figures
RiskDisclosure and change
Third party AI agents and seat pricing (added Q1 2026)Agents writing to Figma files through the MCP server could lower paid seats needed and circumvent pricing and packaging controls.
Credit and usage billing (added in the 10-K)AI credit limits from March 2026 with add ons and pay as you go; the Q2 2026 10-Q adds the risk of failing to measure, attribute and bill usage.
AI inference cost and gross marginNon GAAP gross margin 82.0% in Q3 2026 against 91.5% in Q1 2025; 9M 2026 AI and usage related hosting costs +$90.3m.
AI model suppliersPurchase commitments with a limited number of foundational AI model providers; minimum commitments may require payment for unused capacity (Q3 2026 10-Q).
Government sales and Anthropic designationQ1 and Q2 2026 10-Q: AI features in government offerings were built on Claude; Q3 2026 10-Q: Figma replaced Claude with alternative models in Feb 2026. Figma holds FedRAMP authorization.
Sanctions complianceOFAC review of a voluntary self disclosure closed in Sep 2026 with a Cautionary Letter and no penalty.
Shares eligible for saleLock up expired 7 Aug 2026; insiders sold about $287m in twelve months.
Dual class controlDylan Field 72.3% of voting power; Class B at 15 votes per share.
Share price volatilityThe 10-K cites a high of about $124.63 on the first trading day after the IPO and a low of about $19.85 by 17 Feb 2026; close $18.44 on 5 Nov 2026.

How risk factors changed

  • Comparison: 10-K FY2025 filed 18 Feb 2026 acc 0001628280-26-009228 against 424B4 IPO prospectus filed 31 Jul 2025 acc 0001628280-25-037014 (no prior 10-K; Figma listed on NYSE in Jul 2025).
  • Risk factor text grew from 36,319 words in the 424B4 to 38,718 in the 10-K and 41,839 in the Q3 2026 10-Q, up 15% in total.
  • 'AI' appears 118 times in the 424B4, 200 in the 10-K and 277 in the Q3 2026 10-Q; factors mentioning AI rose from 22 to 25 to 30.
  • Usage based monetization is new: 'AI credit' appears 0 times in the 424B4 and 26 times in the 10-K, with two new factors on credit billing and on third party agents bypassing seat pricing.
  • Dependence on AI model suppliers: purchase commitments with a few foundational model providers (from Q1 2026) and the Anthropic supply chain designation affecting government sales.
  • IPO specific factors were removed, and 2026 updates record the lock up expiry on 7 Aug 2026 and the OFAC review closed with no penalty in Sep 2026.

AddedBilling beyond per seat subscriptions could hurt resultsNew factor on credit, usage and outcome based billing: AI credits were added to all seats in 2025 and the 10-K states credit limits would be enforced from Mar 2026, with add on credit subscriptions and pay as you go plans.
AddedReliance on third party service providers beyond AWSNew factor naming content delivery, identity management, payment processing, monitoring and certain AI services as critical outside providers, with outage, pricing and contract term exposure.
AddedCosts of operating as a public companyReplaces the prospectus factor on expected public company costs; now describes costs incurred after the IPO, such as new internal controls, a transfer agent and an insider trading policy.
AddedUse of deferred tax assets may be limitedReplaces the prospectus factor on NOL carryforwards with a broader factor on deferred tax assets, citing ownership change limits under Section 382.

RewordedCompetitive developments in AIBody grows from 532 to 1,316 words; adds risk that the stated AI roadmap raises customer and investor expectations, and that rising AI quality expectations raise infrastructure and model costs that pricing may not recover.
RewordedAdditional tax liabilities and tax reformBody cut from 584 to 306 words; detailed discussion of the 2017 Tax Cuts and Jobs Act removed.
RewordedUse of AI may cause reputational and legal harmBody grows from 1,283 to 1,840 words; adds evolving and inconsistent AI safety standards across regions, and AI outputs that may breach contractual commitments.

10-Q Q1 2026 filed 14 May 2026Full Item 1A restated (62 factors, 40,780 words). One factor added: third party AI agents and tools, including those writing to Figma files through the MCP server from Mar 2026, may reduce paid seats needed and circumvent pricing. Third party provider factor adds purchase commitments with a limited number of foundational AI model providers; billing factors state credit limits took effect in Mar 2026 with monthly add ons and pay as you go; government factor adds that the US federal government named Anthropic a supply chain risk, with Claude powering Figma's government AI features, and that the directive is the subject of ongoing litigation.
10-Q Q2 2026 filed 5 Aug 2026No factors added or removed (62 factors, 41,251 words). Billing factor heading reworded to the risk of failing to measure, attribute and bill usage under credit, usage or outcome based models; government heading widened to highly regulated organizations; product lists add the Figma agent and code related capabilities; internal control factor notes an SEC proposal on filer status.
10-Q Q3 2026 filed 4 Nov 2026No factors added or removed (62 factors, 41,839 words). 11 Stock Price, Scenarios & Sensitivity

  • FIG closed at $18.44 on 5 Nov 2026, the first full session after the Q3 2026 release; the October 2026 month end close was $21.65. Price history starts at the listing on 31 Jul 2025: IPO price $33.00, first day close $115.50. The 52 week range is $16.62 to $45.33; shares trade 44.1% below the IPO price.
  • Valuation: market value $9.88bn on 535.6m Class A and Class B shares; EV/Sales 5.8x TTM after net cash of $1.72bn; free cash flow yield 2.2%; P/E n/a on a TTM net loss.
  • Scenario model uses EV/Sales because TTM GAAP operating income is negative: revenue grows from TTM Q3 2026 $1.399bn for three years; price equals revenue times the exit EV/Sales plus net cash of $1.72bn, divided by shares up 9% from equity awards.
  • Figure note: points to Oct 2026 are month end closes, the Jul 2025 point is the first trading day close, and the final point is the $18.44 close of 5 Nov 2026, the start of the scenario paths. Labels such as 17m high and 17m low refer to the plotted closes over the 17 calendar months shown (Jul 2025 to Nov 2026): the 17m high is the first day close of $115.50 and the 17m low the Apr 2026 month end close of $17.70, so they differ from the 52 week range of $16.62 to $45.33.
