  • Keytruda shifts to subcutaneous dosing before its US patent expires in Dec 2028. Keytruda family $8.60bn (+5.6%, 47.6% of sales); intravenous Keytruda (4.6%); subcutaneous Keytruda Qlex $830m, 9.7% of the family against 5.5% in Q2 2026. Medicare price setting for Keytruda is expected from 1 Jan 2029.
  • Growth products against exclusivity losses. Winrevair $694m (+92.8%), Gardasil $2.00bn (+14.1%) on US public purchasing, Animal Health $1.68bn (+3.8%); Januvia and Janumet $380m (39.2%) and Bridion $144m (67.2%) after US generic entry.
  • Acquisitions reset 2026 earnings. Cidara ($9.0bn), Terns ($5.7bn) and SciBrunch ($0.4bn) were charged to R&D: TTM operating margin 8.1% against 30.5% excluding the charges; 9M 2026 GAAP EPS ($0.21) against $6.08.
  • Debt funds the deals. Debt $53.9bn at 30 Jun 2026 against $37.1bn at end 2024 after $8.0bn (Dec 2025) and $6.0bn (May 2026) of notes; 9M 2026 interest expense $1.55bn, +63.8%. Free cash flow TTM Q2 2026 $16.1bn covered dividends of $8.3bn and buybacks of $4.2bn.

Shares at $149.49 trade at 16.9x the EPS midpoint excluding charges; base case $108 in FY2029, range $50 to $163.

Figures are read from the Forms 10-K for FY2021 to FY2025, the Forms 10-Q for Q3 2025, Q1 2026 and Q2 2026, the Forms 8-K with all their exhibits, incl. the quarterly earnings releases and supplemental tables (Ex 99.1, 99.2), the officers' certificates and legal opinions for the Dec 2025 and May 2026 notes (Ex 4.1 to 4.8, 5.1) and the board release of Oct 2026, the CFO commentary on the earnings calls, the proxy statement of 2026 with the Form 8-K Item 5.07 vote results, and Forms 4 for central index key 310158, together with the filings of 13 peer companies used in chapters 2 to 5 and 8. The Q3 2026 Form 10-Q had not been filed by 31 Oct 2026, so Q3 2026 cash flow and the 30 Sep 2026 balance sheet are not available: the latest balance sheet is 30 Jun 2026 and trailing cash flow runs to Q2 2026. Accession numbers appear in the Sources appendix. Market prices are the last trades of 30 Oct 2026.

1 Revenue & Business Model

  • Storyline: Merck funds its move away from one product with debt and acquisitions. Keytruda earned 48.7% of FY2025 sales and loses US compound patent protection in Dec 2028; Merck agreed $26.5bn of acquisitions (Verona, Cidara, Terns) between Oct 2025 and May 2026. Chapters 2 to 5 cover the four revenue drivers: Keytruda and oncology, vaccines, cardiopulmonary and Animal Health.
  • Two segments: Pharmaceutical (human health incl. vaccines) $58.1bn in FY2025, 89.4% of sales, segment profit 78.7% of segment sales before R&D, which Merck books at corporate level; Animal Health $6.4bn (9.8%), segment profit margin 33.5% after its own R&D.
  • Sales FY2021 $48.7bn to FY2025 $65.0bn, a 7.5% CAGR; TTM Q3 2026 $67.4bn, +4.9%.
  • Regions: United States 56.2% of FY2025 sales against 47.4% in FY2023; China fell from $6.80bn (FY2023) to $1.94bn (FY2025) after Gardasil shipments to China stopped in Feb 2025. In Q3 2026 the US was 58.7% of sales.
  • Pricing exposure: Medicare negotiated prices apply to Januvia from 2026, Janumet from 2027 and Lenvima from 2028; Merck expects Keytruda selection in 2027 with prices from 1 Jan 2029, and signed a three year most favoured nation pricing agreement with the US government in Dec 2025.

  • The expected start of Keytruda US price setting moved one year later, from 1 Jan 2028 in the FY2024 10-K to 1 Jan 2029 in the FY2025 10-K, while US biosimilar entry stays tied to Dec 2028.
  • Keytruda reached 49% of 2025 sales against 46% in 2024, and Keytruda Qlex uptake is named as a new risk event.
  • US exclusivity losses are now dated: Januvia and Janumet May 2026, Bridion and Janumet XR Jul 2026.

RewordedLoss of market exclusivity causes rapid loss of salesKeytruda timeline moved: FY2024 expected US decline from Jan 2028 on IRA pricing and from Dec 2028 compound patent expiry; FY2025 says biosimilar competition could begin Dec 2028, two further patents expiring May and Nov 2029 are expected to be litigated, and adds Bridion US exclusivity loss in Jul 2026 (US sales to stop by end 2026) and Januvia/Janumet (May 2026) and Janumet XR (Jul 2026) with nearly all US sales expected to be lost.
RewordedKey products generate most profits and cash flowsKeytruda share of total sales rises from 46% (2024) to 49% (2025); Winrevair replaces Bridion in the key product list; new named events are selection for IRA price setting, lower than expected use of Keytruda Qlex and biosimilar availability; heading adds cash flows and prospects.
RewordedContinued pricing pressure, now public and private sectorsHeading adds 'in the public and private sectors'; expected Keytruda IRA selection moves from 2026 (price from 1 Jan 2028) to 2027 (price from 1 Jan 2029) and the expected US decline becomes 'material'; adds Lenvima selection (Jan 2026, price from 1 Jan 2028) and the Dec 2025 MFN Agreement with the US government, including a direct to patient program.
RewordedChina business and Gardasil salesFY2024 heading described China growth and an expected large Gardasil decline in 2025 after pausing shipments from Feb 2025; FY2025 heading states Gardasil sales in China fell in 2025 and will not materially increase in 2026, and that the China business declined as a result.
RewordedEconomic conditions and government cost cuttingHeading changes cost reduction measures 'being taken by certain governments' to 'by the U.S. and other countries'.
