Director Compensation Data API

The Director Compensation Data API shows how much public companies and funds pay board members and how the pay is structured. The data covers the pay of the directors of public companies and funds from 2007 to the present. Each record covers one proxy statement. Search queries on any field return the matching records in JSON format through one API endpoint.

The API extracts the compensation table, the pay program for non-employee directors, the stock ownership guidelines for directors and the limit on the annual pay of a director. One record type holds the data of operating companies and of funds. The records of one company over several years show how its director pay changes.

The data comes from proxy statements filed on SEC Form DEF 14A. A company that requests proxies from its shareholders files a proxy statement before the shareholder meeting. The proxy statement includes a table with the pay of each non-employee director for the last fiscal year. The SEC requires this table for fiscal years that end on or after December 15, 2006. A fund, such as a closed-end fund, reports the pay of each director or trustee from the fund and from all funds of the same fund complex.

The data is extracted from the text of the proxy statement. It includes the director compensation section with its table and footnotes, the description of the director pay program, the stock ownership guidelines and the description of the equity plan. The data is provided in a structured JSON format. The extracted information includes:

  • Type of the issuer (operating company or fund) and format of the compensation table
  • Pay of each non-employee director: fees earned or paid in cash, stock awards, option awards, non-equity incentive plan pay, change in pension value, all other compensation and total
  • Pay of each fund director or trustee: compensation from the fund, pension or retirement benefits, estimated annual benefits on retirement, total compensation from the fund complex and the number of funds overseen
  • Unvested stock awards and outstanding stock options of each director at fiscal year end
  • Pay program: annual cash retainer, additional retainers for the board chair, the lead director and committee chairs and members, meeting fees, and the value, type and vesting of the annual and initial equity grants
  • Stock ownership guidelines for directors: multiple of the cash retainer or fixed value, time to comply and compliance status
  • Limit on the total annual pay of a director under an equity plan or a pay policy
  • Deferral of fees or awards by directors
  • Short quotes from the proxy statement that support key values

API Endpoint

Search and retrieve the director compensation data of proxy statements by sending POST HTTP requests with search parameters as JSON-formatted payload to the following API endpoint:

Authentication

To authenticate your API requests, use the API key available in your user profile. You can use your API key in one of two ways. Choose the method that best fits your implementation:

  • Authorization Header: Include your API key as an Authorization header in your POST requests. For instance, before sending a POST request to https://api.sec-api.io/director-compensation, ensure the header is set as follows: Authorization: YOUR_API_KEY.
  • Query Parameter: Alternatively, append your API key directly to the URL as a query parameter. For example, when making POST requests, use the URL https://api.sec-api.io/director-compensation?token=YOUR_API_KEY instead of the base endpoint.

Request Parameters

Search the director compensation data of proxy statements by sending a search query to the API. All fields of the extracted data are searchable. For a complete list of searchable fields, refer to the Response Structure section below. Send a search query as a JSON-formatted payload to the API using the structure explained below.

Request parameters:

query: string

Your search criteria in the format field:value defining the fields to search in and the values to search for in those fields. The query is written in Lucene syntax and supports boolean operators (AND, OR, NOT), range queries across date and number fields using square brackets ([, ]), wildcards (*) and search expression grouping with normal brackets ((, )). More information on Lucene is available here. Query examples are available below.

from: integer

Specifies the starting position of your results, allowing for pagination. For instance, set from to 50 to skip the first 50 results. Default: 0. Maximum: 10,000, which is also the cap for the maximum number of results returned per query. To retrieve all results in your search universe, increment from by the value of the size parameter (e.g., 50) until no more results are returned or the 10,000 limit is reached. For example, use 0, 50, 100, and so on. If your query locates more than 10,000 results, consider narrowing your search by refining your filter criteria, such as using a date range filter to iterate over months or years. One approach would be to search for items with a filedAt date range filter, e.g., filedAt:[2025-01-01 TO 2025-01-31] (all filings from January 2025), then paginate through the results by incrementing from, and once completed, repeat the process for the next month, and so on.

size: integer

The number of results to be returned per request. Default: 50. Maximum: 50.

sort: array

An array of objects that specify how the returned results are sorted. For example, [{ "filedAt": { "order": "desc" } }] sorts the results by the filing date, most recent filings first. Set order to asc to sort in ascending order.

Request Examples

Find all proxy statements of operating companies in which at least one non-employee director received total pay of $500,000 or more in the last fiscal year. Sort the result by the filing date, starting with the most recent filings. Increment the from parameter by 50 on each subsequent request to paginate through the results.

Find all proxy statements of funds in which at least one director or trustee received $300,000 or more from the fund complex. A fund complex is a group of funds that have the same or related investment advisers, or that present themselves to investors as related funds. A trustee who serves on the boards of many funds of one complex receives most of the pay from the complex and only a small part from each fund.

Response Structure

Response type: JSON

The API response represents a JSON object with two fields: total (object) and data (array). The total.value field indicates the total number of results matching your search query. The data array holds up to 50 items per request. Each item represents the extracted data from one proxy statement filed on Form DEF 14A.

The data contains only facts that the proxy statement states. A value of null or not_stated, or an empty array, means that the proxy statement does not state the fact. A value of 0 means that the proxy statement prints a zero or a dash, or states that the amount is not paid. An operating company fills the columns of the director compensation table, and a fund fills the columns of the trustee compensation table. Amounts are in USD. Dates use the format YYYY-MM-DD. Each item has the following structure:

accessionNo: string

Accession number of the filing, e.g. 0001308179-26-000420.

formType: string

EDGAR form type. Possible values: DEF 14A.

filedAt: date

Date and time when SEC EDGAR accepted the filing, e.g. 2026-10-06T16:05:46-04:00.

periodOfReport: date

Period of report as stated in the EDGAR header of the filing, e.g. 2026-11-18. For a proxy statement, this is usually the date of the shareholder meeting. This field is null when the EDGAR header gives no period.

entities: array of objects

Companies and funds named in the EDGAR header of the filing. A proxy statement filed by the company or fund has one entity, marked (Filer).

cik: string

Central Index Key (CIK) of the entity, without leading zeros, e.g. 1633978.

ticker: string

Trading symbol of the common stock or the listed fund shares of the entity, e.g. LITE. This field is null when the entity has no symbol, for example an unlisted fund.

companyName: string

Name of the entity as in EDGAR, with its role in the filing in brackets, e.g. Lumentum Holdings Inc. (Filer).

irsNo: string

Employer identification number of the entity, assigned by the Internal Revenue Service (IRS), e.g. 473108385.

fiscalYearEnd: string

Last day of the fiscal year of the entity, in the format MMDD, e.g. 0627.

stateOfIncorporation: string

Code of the state or country in which the entity is incorporated, e.g. DE.

sic: string

Standard Industrial Classification (SIC) code and industry title of the entity, as in EDGAR, e.g. 3669 Communications Equipment, NEC.

act: string

Securities law under which the entity files, as in EDGAR, e.g. 34. 34 is the Securities Exchange Act of 1934.

fileNo: string

SEC file number of the entity, e.g. 001-36861.

filmNo: string

Film number that SEC EDGAR assigned to the filing document of the entity, e.g. 261444047.

meetingDate: date

Date of the shareholder meeting, e.g. 2026-11-18.

fiscalYear: integer

Fiscal year that the director compensation table covers, e.g. 2026. A proxy statement filed in October 2026 by a company with a June fiscal year end usually covers fiscal year 2026. For a fund, this is the fiscal year or the calendar year that the trustee compensation table covers.

url: string

URL of the main filing document on SEC EDGAR.

issuerType: string

Type of the issuer that holds the meeting. operating_company is a company that reports director pay in the director compensation table of Regulation S-K Item 402(k) or 402(r). investment_company is a registered fund or a business development company. A registered fund, such as a mutual fund or a closed-end fund, reports director or trustee pay from the fund and from the fund complex under Schedule 14A Item 22(b)(13). A business development company uses the director compensation table of Item 402(k). Possible values: operating_company, investment_company.

compensationTable: object

Director or trustee compensation table of the proxy statement.

tableType: string

Format of the director pay disclosure. director_compensation_table has the columns of Item 402(k): fees earned or paid in cash, stock awards, option awards, other columns and total. trustee_compensation_table has the columns of Schedule 14A Item 22(b)(13) for registered funds: aggregate compensation from the fund, pension or retirement benefits accrued as part of fund expenses, estimated annual benefits on retirement and total compensation from the fund and the fund complex. narrative_only is a text description without a table. Possible values: director_compensation_table, trustee_compensation_table, narrative_only, not_stated.

fundsInComplex: integer

Number of funds in the fund complex, as stated in the trustee compensation table or its footnotes. Funds only.

employeeDirectorsUnpaid: boolean

true when the proxy statement states that directors who are employees of the company, or trustees who are interested persons of the fund, receive no pay for board service. null when the proxy statement does not state it.

directorCompensation: array of objects

One item per director or trustee in the compensation table, as printed. Amounts are for the last fiscal year, in USD. An operating company fills the columns of the director compensation table. A fund fills the columns of the trustee compensation table. Columns that the table does not have are null.

Name of the director or trustee as printed, e.g. Penelope A. Herscher.

isIndependent: boolean

true when the proxy statement names the person an independent director, or for a fund, a trustee who is not an interested person. false for an interested trustee or a director who is not independent. null when the proxy statement does not state it.

feesEarnedOrPaidInCashUSD: number

Fees earned or paid in cash for board service, including annual retainers, committee and chair fees, and meeting fees, e.g. 185000.

stockAwardsUSD: number

Grant date fair value of stock awards, including restricted stock units and deferred stock units, e.g. 345024.

optionAwardsUSD: number

Grant date fair value of option awards, e.g. 86290.

nonEquityIncentivePlanUSD: number

Non-equity incentive plan compensation, e.g. 264420.

pensionAndDeferredEarningsUSD: number

Estimated annual benefits on retirement. Funds only.

totalFromFundComplexUSD: number

Total compensation from the fund and the fund complex paid to the trustee, e.g. 7000. Funds only.

fundsOverseen: integer

Number of funds in the fund complex that the trustee oversees, as printed in the table, e.g. 23. Funds only.

unvestedStockAwards: number

Number of unvested stock awards or stock units that the director held at fiscal year end, as stated in the table footnotes, e.g. 1283.

optionsOutstanding: number

Number of stock options that the director held at fiscal year end, as stated in the table footnotes, e.g. 72496. When the footnote gives exercisable and unexercisable options separately, this is the sum of both.

retainerSchedule: object

Pay program for non-employee directors or trustees as described in the proxy statement: retainers, meeting fees and equity grants. Amounts are annual amounts in USD for the program in effect for the last fiscal year. Chair, lead director and committee amounts are the additional retainers that the proxy statement states.

scheduleScope: string

Entity that pays the amounts of the schedule. company for an operating company. fund when the amounts are paid by the fund that holds the meeting. fund_complex when the amounts are paid for service on the boards of all funds in the fund complex. Possible values: company, fund, fund_complex, not_stated.

annualCashRetainerUSD: number

Annual cash retainer for board service, e.g. 85000.

boardChairRetainerUSD: number

Additional annual retainer for the non-executive chair of the board, e.g. 100000.

leadDirectorRetainerUSD: number

Additional annual retainer for the lead independent director, e.g. 30000.

committeeRetainers: array of objects

Additional annual retainers for committee chairs and committee members, one item per committee and role.

committee: string

Name of the committee as printed, e.g. Audit Committee.

role: string

Role on the committee. Possible values: chair, member, not_stated.

amountUSD: number

Annual retainer for the role, e.g. 35000.

boardMeetingFeeUSD: number

Fee per board meeting attended, e.g. 3000. 0 when the proxy statement states that directors receive no meeting fees.

Fee per committee meeting attended, e.g. 1000. 0 when the proxy statement states that directors receive no committee meeting fees.

Grant date value of the annual equity grant to each non-employee director, e.g. 220000.

Required ownership as a multiple of the annual cash retainer, e.g. 5.

Required ownership as a fixed value in USD, when the guideline states a value and not a multiple, e.g. 450000.

Number of years that a director has to meet the guideline, e.g. 5.

Limit on the total annual pay of a non-employee director under an equity plan or a director pay policy.

Annual limit in USD, e.g. 750000. When the proxy statement states the limit in effect and a proposed new limit, this is the limit in effect.

higherLimitUSD: number

Higher annual limit in USD for a director in a special role or in the first year of service, as stated, e.g. 1000000.

higherLimitCondition: string

Role or condition to which the higher limit applies, as stated in short form, e.g. initial year of election or appointment.

coverage: string

Pay that the limit covers. cash_and_equity covers cash fees and the grant date value of equity awards. equity_only covers equity awards only. Possible values: cash_and_equity, equity_only, not_stated.

source: string

Document that sets the limit. Possible values: equity_plan, director_pay_policy, other, not_stated.

deferredCompensation: object

Plan that lets directors defer their fees or equity awards.

hasPlan: boolean

true when the proxy statement states that directors can defer fees or awards. null when it does not mention it.

deferIntoStockUnits: boolean

true when directors can defer fees or awards into stock units, phantom stock or deferred shares. false when the proxy statement states only a deferral into a cash account.

evidence: object

Short quotes from the proxy statement that support key values. Each key is the path of a field, e.g. directorPayLimit.limitUSD, and each value is the quote.
