Fund Reorganizations Data API

The Fund Reorganizations Data API shows how proposals in fund proxy statements change the funds that investors hold. The data covers the fund mergers, liquidations and policy changes that fund shareholders vote on from 1994 to the present. Each record covers one proxy statement. Search queries on any field return the matching records in JSON format through one API endpoint.

The API extracts the proposals with their type, the acquiring and target funds of each merger, the current and proposed text of policy changes, the shares outstanding per fund and share class, the preferred shares per series with the voting rights of preferred holders, and the leverage and asset coverage of each fund. A joint proxy statement of several funds is one record with one item per fund.

The data comes from proxy statements filed on SEC Form DEF 14A by mutual funds, exchange-traded funds (ETFs), closed-end funds, interval funds and business development companies (BDCs). Under the Investment Company Act of 1940, a fund needs a shareholder vote before it changes a fundamental investment policy, changes from diversified to non-diversified or converts from closed-end to open-end. A merger into another fund, a liquidation or another change of structure often also needs a shareholder vote under SEC rules, state law or the fund charter. The proxy statement describes each proposal, the funds and share classes that vote on it, and the vote that it needs to pass.

The data is extracted from the text of the proxy statement: the notice of meeting, the proposal sections, the voting information, the reorganization terms and capitalization tables, the sections on leverage and preferred shares, and the appendices with share counts. The data is provided in a structured JSON format. The extracted information includes:

  • Type of the fund that files the proxy statement: mutual fund, ETF, closed-end fund, interval fund or BDC
  • Funds covered by the proxy statement, with ticker, role, diversification status, net assets and common shares outstanding
  • Shares outstanding per fund and share class on the record date
  • Proposals with type, the funds and share classes that vote on each proposal, the vote standard, the board recommendation and the action of the board if shareholders reject the proposal
  • Fund mergers: target fund, acquiring fund, what target fund shareholders receive, expected closing date, tax treatment, costs and the party that pays them, and pro forma net assets
  • Changes of fundamental investment policies with the current and the proposed policy text
  • Changes from diversified to non-diversified, conversions from closed-end to open-end, changes of legal form, changes of the fund term and liquidations
  • Preferred shares per series with type, shares outstanding and liquidation preference, and the voting rights of preferred holders
  • Leverage, effective leverage and asset coverage ratio per fund, and proposals of BDCs to lower their minimum asset coverage
  • Definition of the vote of a "majority of the outstanding voting securities" as printed
  • Short quotes from the proxy statement that support key values

API Endpoint

Search and retrieve the fund reorganization data of proxy statements by sending POST HTTP requests with search parameters as JSON-formatted payload to the following API endpoint:

Authentication

To authenticate your API requests, use the API key available in your user profile. You can use your API key in one of two ways. Choose the method that best fits your implementation:

  • Authorization Header: Include your API key as an Authorization header in your POST requests. For instance, before sending a POST request to https://api.sec-api.io/fund-reorganizations, ensure the header is set as follows: Authorization: YOUR_API_KEY.
  • Query Parameter: Alternatively, append your API key directly to the URL as a query parameter. For example, when making POST requests, use the URL https://api.sec-api.io/fund-reorganizations?token=YOUR_API_KEY instead of the base endpoint.

Request Parameters

Search the fund reorganization data of proxy statements by sending a search query to the API. All fields of the extracted data are searchable. For a complete list of searchable fields, refer to the Response Structure section below. Send a search query as a JSON-formatted payload to the API using the structure explained below.

Request parameters:

query: string

Your search criteria in the format field:value defining the fields to search in and the values to search for in those fields. The query is written in Lucene syntax and supports boolean operators (AND, OR, NOT), range queries across date and number fields using square brackets ([, ]), wildcards (*) and search expression grouping with normal brackets ((, )). More information on Lucene is available here. Query examples are available below.

from: integer

Specifies the starting position of your results, allowing for pagination. For instance, set from to 50 to skip the first 50 results. Default: 0. Maximum: 10,000, which is also the cap for the maximum number of results returned per query. To retrieve all results in your search universe, increment from by the value of the size parameter (e.g., 50) until no more results are returned or the 10,000 limit is reached. For example, use 0, 50, 100, and so on. If your query locates more than 10,000 results, consider narrowing your search by refining your filter criteria, such as using a date range filter to iterate over months or years. One approach would be to search for items with a filedAt date range filter, e.g., filedAt:[2025-01-01 TO 2025-01-31] (all filings from January 2025), then paginate through the results by incrementing from, and once completed, repeat the process for the next month, and so on.

size: integer

The number of results to be returned per request. Default: 50. Maximum: 50.

sort: array

An array of objects that specify how the returned results are sorted. For example, [{ "filedAt": { "order": "desc" } }] sorts the results by the filing date, most recent filings first. Set order to asc to sort in ascending order.

Request Examples

Find all fund proxy statements filed in 2026 that propose a fund merger or a liquidation, with the result sorted by the filing date, starting with the most recent filings. Increment the from parameter by 50 on each subsequent request to paginate through the results.

Find all fund proxy statements that propose to change a fundamental investment policy or to change a fund from diversified to non-diversified. These changes let the fund take more risk, for example by holding fewer issuers or more of one industry.

Response Structure

Response type: JSON

The API response represents a JSON object with two fields: total (object) and data (array). The total.value field indicates the total number of results matching your search query. The data array holds up to 50 items per request. Each item represents the extracted data from one proxy statement filed on Form DEF 14A.

The data contains only facts that the proxy statement states. A value of null or not_stated, or an empty array, means that the proxy statement does not state the fact. Fund names, share classes and series are as printed. Percentages are numbers from 0 to 100, except asset coverage ratios, which can be higher than 100. Dates use the format YYYY-MM-DD, or YYYY-MM and YYYY when the text gives only the month or the year. Amounts are in USD. Each item has the following structure:

accessionNo: string

Accession number of the filing, e.g. 0001999371-26-013943.

formType: string

EDGAR form type. Possible values: DEF 14A.

filedAt: date

Date and time at which SEC EDGAR accepted the filing, e.g. 2026-06-30T16:57:23-04:00.

periodOfReport: date

Period of report as stated in the EDGAR header of the filing, e.g. 2026-09-24. For a proxy statement on Form DEF 14A, this is usually the date of the shareholder meeting. This field is null when the EDGAR header gives no period.

entities: array of objects

Funds, trusts and companies named in the EDGAR header of the filing. A joint proxy statement of several funds can name each registrant as an entity, each marked (Filer). The registrant that filed the proxy statement is the first entity.

cik: string

Central Index Key (CIK) of the entity, without leading zeros, e.g. 897421.

ticker: string

Trading symbol of the entity, e.g. NPV. This field is null when the entity has no symbol, for example a trust with several series or a fund whose shares do not trade on an exchange.

companyName: string

Name of the entity as in EDGAR, with its role in the filing in brackets, for example (Filer), e.g. NUVEEN VIRGINIA QUALITY MUNICIPAL INCOME FUND (Filer).

irsNo: string

Employer identification number of the entity, assigned by the Internal Revenue Service (IRS), e.g. 367032571.

fiscalYearEnd: string

Last day of the fiscal year of the entity, in the format MMDD, e.g. 0531.

stateOfIncorporation: string

Code of the state or country in which the entity is incorporated, e.g. MA.

sic: string

Standard Industrial Classification (SIC) code and industry title of the entity, as in EDGAR. This field is null for most registered funds.

act: string

Securities law under which the entity files, as in EDGAR, e.g. 34. 34 is the Securities Exchange Act of 1934.

fileNo: string

SEC file number of the entity, e.g. 811-07490.

filmNo: string

Film number that SEC EDGAR assigned to the filing document of the entity, e.g. 261141360.

meetingDate: date

Date of the shareholder meeting, e.g. 2026-09-24. When the funds of a joint proxy statement meet on different dates, this is the first date.

meetingType: string

Type of the shareholder meeting as the proxy statement names it. Possible values: annual, special, annual_and_special, not_stated.

url: string

URL of the main filing document on SEC EDGAR.

registrantType: string

Type of the investment company that files the proxy statement, as the proxy statement describes it: open_end_fund (mutual fund), exchange_traded_fund, closed_end_fund, interval_fund, business_development_company (BDC), limited_partnership (limited partnership or LLC with units), other. Possible values: open_end_fund, exchange_traded_fund, closed_end_fund, interval_fund, business_development_company, limited_partnership, other, not_stated.

recordDate: date

Record date of the meeting, e.g. 2026-05-28. Holders of shares on this date can vote. Share counts in the proxy statement are usually as of this date.

funds: array of objects

Funds that solicit proxies through the proxy statement, and funds that take part in a proposed reorganization. One item per fund or series.

fundName: string

Name of the fund or series as printed, e.g. Nuveen Minnesota Quality Municipal Income Fund.

ticker: string

Exchange symbol of the fund as printed, e.g. NMS. This field is null for a fund with several share classes and for a fund whose shares do not trade on an exchange.

fundType: string

Type of the fund as the proxy statement describes it. Possible values: open_end_fund, exchange_traded_fund, closed_end_fund, interval_fund, business_development_company, limited_partnership, other, not_stated.

role: string

Role of the fund in the proxy statement: soliciting (its shareholders vote), target (it will transfer its assets to an acquiring fund in a reorganization), acquiring (it will receive the assets of a target fund), acquiring_soliciting (it receives assets and its shareholders also vote). Possible values: soliciting, target, acquiring, acquiring_soliciting.

diversificationStatus: string

Current status of the fund under the Investment Company Act of 1940, as stated: diversified or non_diversified. Possible values: diversified, non_diversified, not_stated.

netAssetsUSD: number

Net assets of the fund in USD, as stated, e.g. 74956339.

netAssetsDate: date

Date of the net assets value, e.g. 2026-03-31.

commonSharesOutstanding: number

Number of common shares of the fund outstanding, all classes together, as stated, e.g. 6409661.

shareClasses: array of objects

Shares outstanding per fund and share class, as stated in the voting information. One item per class. A fund with one class of common shares has no item here; its count is in funds[].commonSharesOutstanding.

fundName: string

Name of the fund as printed, e.g. Pender Real Estate Credit Fund.

className: string

Name of the share class as printed, e.g. Class I1.

sharesOutstanding: number

Number of shares of the class outstanding, as stated, e.g. 19184031.

preferredShares: array of objects

Preferred shares of a closed-end fund or BDC outstanding, per series. Preferred shares give the fund leverage: the common shareholders carry the gains and losses on the money raised from preferred holders.

fundName: string

Name of the fund that issued the preferred shares, e.g. Nuveen Minnesota Quality Municipal Income Fund.

series: string

Name of the series as printed, e.g. Series 2028 AMTP Shares.

preferredType: string

Type of the preferred shares, from the name as printed: auction_rate (auction rate preferred shares), variable_rate_demand (VRDP), muni_fund (MuniFund preferred shares, MFP), term (term preferred shares with a fixed redemption date, such as AMTP, MTP or VMTP), perpetual (fixed-rate preferred shares without a redemption date), other. Possible values: auction_rate, variable_rate_demand, muni_fund, term, perpetual, other, not_stated.

sharesOutstanding: number

Number of preferred shares of the series outstanding, as stated, e.g. 498.

liquidationPreferencePerShareUSD: number

Liquidation preference per share in USD, as stated, e.g. 100000.

preferredVotingRights: object

Voting rights of preferred shareholders at the meeting. The Investment Company Act of 1940 gives preferred holders of a fund the right to elect at least two directors or trustees and to vote as a separate class on some matters.

votesPerShare: number

Number of votes per preferred share, as stated, e.g. 1.

votesWithCommon: boolean

true when the proxy statement states that preferred and common shares vote together as a single class on at least one proposal.

separateClassMatters: array of strings

Proposals or matters on which preferred shares vote as a separate class, short phrases as stated, e.g. ["Election of one Class I director (William J. Gremp)"].

trusteesElectedByPreferred: integer

Number of directors or trustees that only the preferred holders elect, as stated, e.g. 2.

leverage: array of objects

Leverage and asset coverage of a fund, as stated. Asset coverage is the ratio of the total assets of the fund, less liabilities other than senior securities, to the senior securities (borrowings and preferred shares). A lower ratio means more leverage. One item per fund.

fundName: string

Name of the fund, e.g. Nuveen Minnesota Quality Municipal Income Fund.

asOfDate: date

Date of the values, e.g. 2025.

assetCoverageRatioPct: number

Asset coverage ratio in percent, as stated, e.g. 240.24.

leverageRatioPct: number

Leverage of the fund in percent of its total assets, as stated, e.g. 41.63. When the proxy statement gives several values, this is the regulatory or structural leverage (preferred shares and borrowings).

effectiveLeveragePct: number

Effective leverage in percent, as stated, e.g. 41.63. Effective leverage also includes leverage from derivatives and tender option bonds.

leverageSources: array of strings

Sources of leverage as stated, for example preferred shares, a credit facility or tender option bonds, e.g. ["AMTP preferred shares"].

assetCoverageRequirement: object

Proposal to change the minimum asset coverage that the fund must keep for its senior securities. Since 2018, a BDC can lower its minimum asset coverage from 200% to 150% with the approval of its board or its shareholders. This lets the BDC borrow more.

currentMinimumPct: number

Current minimum asset coverage in percent, as stated, e.g. 200.

proposedMinimumPct: number

Proposed minimum asset coverage in percent, as stated, e.g. 150.

effectiveDate: date

Date on which the new minimum applies after approval, as stated.

proposals: array of objects

Proposals on which shareholders vote at the meeting. One item per proposal. For an election of directors or trustees, one item for all nominees that the same group of shareholders elects.

proposalNumber: string

Number of the proposal as printed, e.g. 1.

title: string

Title or short description of the proposal as printed, e.g. MMT Only: Adoption of a Fundamental Investment Policy.

proposalType: string

Share classes that vote on the proposal, as printed, for example Common Shares or Preferred Shares, e.g. ["Common Shares"]. Empty when the proxy statement does not limit the vote to specific classes.

voteStandard: string

Vote threshold required for proposal approval: investment_company_act_majority (majority of outstanding voting securities as defined by the Investment Company Act of 1940), majority_of_votes_cast, majority_of_outstanding_shares, plurality, other. Proposed reorganizations where a target fund transfers assets to an acquiring fund and its shareholders receive shares of the acquiring fund. One item per target fund.

Proposed changes to fundamental investment policies or the investment objective. A fund can change a fundamental policy only with shareholder approval. One item per policy and fund group.

Funds to which the change applies, as printed, e.g. ["Aberdeen Multi-Market Income Fund"]. Empty when the proxy statement covers one fund.

policyTopic: string

Subject of the policy, for example borrowing, concentration, diversification, investment objective, commodities or real estate, e.g. concentration.

Type of the change: amend (new text), eliminate (remove the policy), reclassify_non_fundamental (the board can change it later without a shareholder vote), adopt (new policy). Possible values: amend, eliminate, reclassify_non_fundamental, adopt, not_stated.

currentPolicy: string

Current text of the policy, as printed, at most 500 characters.

proposedPolicy: string

Proposed text of the policy, as printed, at most 500 characters. This field is null when the policy is eliminated.

structureChanges: array of objects

Proposed changes to the legal or investment structure of a fund, other than a reorganization into another fund. One item per change and fund group.

fundNames: array of strings

Funds to which the change applies, as printed, e.g. ["JPMorgan U.S. Research Enhanced Equity Fund"]. Empty when the proxy statement covers one fund.

changeType: string

Type of the change: diversified_to_non_diversified, closed_end_to_open_end, closed_end_to_interval, legal_form_change (for example from a corporation to a statutory trust), term_extension (later end date of a term fund, or removal of the end date), liquidation, other. Possible values: diversified_to_non_diversified, closed_end_to_open_end, closed_end_to_interval, legal_form_change, term_extension, liquidation, other.

summary: string

Short summary of the change in neutral words, at most 400 characters.

effectiveDate: date

Expected date of the change, as stated.

voteStandardDefinition: string

Definition of the vote of a "majority of the outstanding voting securities," as printed, at most 500 characters. The Investment Company Act of 1940 defines this vote as the lesser of 67% or more of the shares present at the meeting, when more than 50% of the outstanding shares are present, or more than 50% of the outstanding shares.

evidence: object

Short quotes from the proxy statement that support key values. Each key is the path of a field, e.g. reorganizations[0].acquiringFund, and each value is the quote.
