Pay Versus Performance Data API

The Pay Versus Performance Data API shows if executive pay at a public company follows company results and stock returns. The data covers the fiscal years from 2020 to the present. Each record covers one proxy statement. Search queries on any field return the matching records in JSON format through one API endpoint.

The API extracts the pay versus performance table as one row per fiscal year, with a separate entry for each chief executive officer when the CEO changed during a year. It also extracts how the annual bonus and performance shares are paid: the measures, weights, goals and results, the payout as a percentage of target, and changes that the compensation committee made at its own discretion. Smaller reporting companies provide a reduced table with three years, no peer group return, and no company-selected measure.

The data comes from proxy statements filed on SEC Form DEF 14A. The SEC requires a pay versus performance table in the proxy statement for fiscal years ending on or after December 16, 2022. For each of the last fiscal years, up to five, the table compares compensation actually paid to the chief executive officer and other named executive officers with total shareholder return for the company and a peer group, net income, and a financial measure selected by the company. The first proxy statements with the table, filed in 2023, report three fiscal years, or two fiscal years for smaller reporting companies.

The data is extracted from the text of the proxy statement: the pay versus performance section with its footnotes and the list of most important measures, and the sections of the Compensation Discussion and Analysis on the annual incentive and the long-term incentive awards. The data is provided in a structured JSON format. The extracted information includes:

  • Pay versus performance table for each fiscal year: total pay in the Summary Compensation Table and compensation actually paid for each CEO, the averages for the other named executive officers, the value of a 100 USD investment in the company and in the peer group, net income and the value of the company-selected measure
  • Disclosure level (full or smaller reporting company), number of years, number of CEOs in the period and the name of the peer group or index
  • Company-selected measure with its unit and the list of most important financial measures
  • Annual bonus measures with weights, threshold, target and maximum goals, actual results and payout for each measure
  • Annual bonus payout as a percentage of target, and the target and actual bonus of each named executive officer
  • Performance share measures, weights, performance period, payout range, relative TSR comparison group and the share of the CEO long-term award that depends on performance
  • Result of the last completed performance share cycle, with the payout and the relative TSR percentile
  • Use of discretion to increase or decrease the bonus or the performance share payout, and bonuses paid outside a plan
  • Total shareholder return figures that the proxy statement cites outside the table
  • Short quotes from the proxy statement that support key values

Search and retrieve the pay versus performance data of proxy statements by sending POST HTTP requests with search parameters as JSON-formatted payload to the following API endpoint:

Authentication

To authenticate your API requests, use the API key available in your user profile. You can use your API key in one of two ways. Choose the method that best fits your implementation:

  • Authorization Header: Include your API key as an Authorization header in your POST requests. For instance, before sending a POST request to https://api.sec-api.io/pay-versus-performance, ensure the header is set as follows: Authorization: YOUR_API_KEY.
  • Query Parameter: Alternatively, append your API key directly to the URL as a query parameter. For example, when making POST requests, use the URL https://api.sec-api.io/pay-versus-performance?token=YOUR_API_KEY instead of the base endpoint.

Request Parameters

Search the pay versus performance data of proxy statements by sending a search query to the API. All fields of the extracted data are searchable. For a complete list of searchable fields, refer to the Response Structure section below. Send a search query as a JSON-formatted payload to the API using the structure explained below.

Request parameters:

query: string

Your search criteria in the format field:value defining the fields to search in and the values to search for in those fields. The query is written in Lucene syntax and supports boolean operators (AND, OR, NOT), range queries across date and number fields using square brackets ([, ]), wildcards (*) and search expression grouping with normal brackets ((, )). More information on Lucene is available here. Query examples are available below.

from: integer

Specifies the starting position of your results, allowing for pagination. For instance, set from to 50 to skip the first 50 results. Default: 0. Maximum: 10,000, which is also the cap for the maximum number of results returned per query. To retrieve all results in your search universe, increment from by the value of the size parameter (e.g., 50) until no more results are returned or the 10,000 limit is reached. For example, use 0, 50, 100, and so on. If your query locates more than 10,000 results, consider narrowing your search by refining your filter criteria, such as using a date range filter to iterate over months or years. One approach would be to search for items with a filedAt date range filter, e.g., filedAt:[2025-01-01 TO 2025-01-31] (all filings from January 2025), then paginate through the results by incrementing from, and once completed, repeat the process for the next month, and so on.

size: integer

The number of results to be returned per request. Default: 50. Maximum: 50.

sort: array

An array of objects that specify how the returned results are sorted. For example, [{ "filedAt": { "order": "desc" } }] sorts the results by the filing date, most recent filings first. Set order to asc to sort in ascending order.

Request Examples

Find all proxy statements filed in 2026 whose pay versus performance table includes two or more CEOs, with the result sorted by the filing date, starting with the most recent filings. A CEO change often explains large differences between compensation actually paid and total shareholder return in the years of the change. Increment the from parameter by 50 on each subsequent request to paginate through the results.

Find all proxy statements in which the annual bonus paid out below target, or in which the compensation committee used its discretion to reduce the bonus.

Response Structure

Response type: JSON

The API response represents a JSON object with two fields: total (object) and data (array). The total.value field indicates the total number of results matching your search query. The data array holds up to 50 items per request. Each item represents the extracted data from one proxy statement filed on Form DEF 14A.

The data contains only facts that the proxy statement states. A value of null or not_stated, or an empty array, means that the proxy statement does not state the fact. Amounts are in USD; values that the proxy statement prints in thousands or millions are converted to USD. Percentages are numbers from 0 to 100, and payouts above target can exceed 100. Dates use the format YYYY-MM-DD. Each item has the following structure:

accessionNo: string

Accession number of the filing, e.g. 0000016732-26-000031.

formType: string

EDGAR form type. Possible values: DEF 14A.

filedAt: date

Date and time at which SEC EDGAR accepted the filing, e.g. 2026-10-07T08:55:38-04:00.

periodOfReport: date

Period of report as stated in the EDGAR header of the filing, e.g. 2026-11-17. For a proxy statement on Form DEF 14A, this is usually the date of the shareholder meeting. This field is null when the EDGAR header gives no period.

entities: array of objects

Companies named in the EDGAR header of the filing. A proxy statement filed by the company has one entity, marked (Filer). The company that holds the meeting is always the first entity.

cik: string

Central Index Key (CIK) of the entity, without leading zeros, e.g. 16732.

ticker: string

Trading symbol of the common stock of the entity, e.g. CPB.

companyName: string

Name of the entity as in EDGAR, with its role in the filing in brackets, for example (Filer), e.g. CAMPBELL'S Co (Filer).

irsNo: string

Employer identification number of the entity, assigned by the Internal Revenue Service (IRS), e.g. 210419870.

fiscalYearEnd: string

Last day of the fiscal year of the entity, in the format MMDD, e.g. 0803.

stateOfIncorporation: string

Code of the state or country in which the entity is incorporated, e.g. NJ.

sic: string

Standard Industrial Classification (SIC) code and industry title of the entity, as in EDGAR, e.g. 2000 Food and Kindred Products.

act: string

Securities law under which the entity files, as in EDGAR, e.g. 34. 34 is the Securities Exchange Act of 1934.

fileNo: string

SEC file number of the entity, e.g. 001-03822.

filmNo: string

Film number that SEC EDGAR assigned to the filing document of the entity, e.g. 261445554.

meetingDate: date

Date of the shareholder meeting, e.g. 2026-11-17.

fiscalYear: integer

Last fiscal year that the pay disclosure covers, e.g. 2026. A proxy statement filed in October 2026 by a company with a June fiscal year end usually covers fiscal year 2026.

url: string

URL of the main filing document on SEC EDGAR.

payVersusPerformance: object

Pay versus performance disclosure under Item 402(v) of Regulation S-K. The table compares the pay of the executives with the returns of the stock and the financial results of the company for each of the last fiscal years.

tablePresented: boolean

true when the proxy statement contains a pay versus performance table. false when it states that the company is exempt or does not include the table.

disclosureLevel: string

Level of the disclosure. full is the table with up to five fiscal years, peer group return and a company-selected measure. smaller_reporting_company is the scaled table of a smaller reporting company: up to three fiscal years, no peer group return, no company-selected measure and no list of most important measures. Possible values: full, smaller_reporting_company, not_stated.

yearsCovered: integer

Number of fiscal years in the table, e.g. 5.

peoCount: integer

Number of different principal executive officers (PEOs) in the table over all years, e.g. 2. A value above 1 means that the CEO changed during the period of the table.

peerGroup: string

Name of the index or peer group used for the peer group return, as printed, e.g. S&P 500 Packaged Foods Group. null for a smaller reporting company.

peerGroupType: string

Type of the peer group. published_index is an industry or market index, for example the PHLX Semiconductor Sector Total Return Index. compensation_peer_group is the peer group that the company uses to set pay. custom_peer_group is another group of companies that the company selects. Possible values: published_index, compensation_peer_group, custom_peer_group, not_stated.

companySelectedMeasure: string

Name of the company-selected measure, as printed, e.g. Net Sales. This is the financial measure that the company considers most important to link pay to performance for the last fiscal year. null for a smaller reporting company.

companySelectedMeasureIsNonGaap: boolean

true when the proxy statement states that the company-selected measure is not a GAAP measure, for example adjusted EBITDA. false when the proxy statement states that the values come from the audited financial statements. null in all other cases, for example for an operating metric such as annual recurring revenue.

companySelectedMeasureUnit: string

Unit of the company-selected measure values in rows. Possible values: usd, usd_per_share, percent, ratio, other, not_stated.

mostImportantMeasures: array of strings

Tabular list of the most important financial measures linking pay to performance, as printed, e.g. ["Adjusted EBIT"]. The rule does not require ranking. Most companies state the list is unranked. A smaller reporting company does not provide this list.

rows: array of objects

Rows of the pay versus performance table, one item per fiscal year, most recent year first.

fiscalYear: integer

Fiscal year of the row, e.g. 2026.

peos: array of objects

Pay of each PEO in the fiscal year. When the CEO changed during the year, the table has a separate column for each PEO and this array has one item per PEO.

Name of the PEO, from the table or its footnotes, e.g. Mick J. Beekhuizen.

sctTotalUSD: number

Total pay of the PEO in the Summary Compensation Table (SCT) for the fiscal year, in USD, e.g. 10965019.

compensationActuallyPaidUSD: number

Compensation actually paid (CAP) to the PEO for the fiscal year, in USD, e.g. 3048543. CAP starts from the SCT total, removes the grant-date value of equity awards and the change in pension value, and adds the fair value at year end of new awards, the change in fair value of earlier awards and the pension service cost. CAP can be negative when the share price falls.

nonPeoNeoAvgSctTotalUSD: number

Average SCT total of the named executive officers (NEOs) other than the PEO, in USD, e.g. 3397964.

nonPeoNeoAvgCapUSD: number

Average compensation actually paid to the NEOs other than the PEO, in USD, e.g. 1601909.

companyTsrValue: number

Value at the end of the fiscal year of a fixed 100 USD investment in the stock of the company, made at the start of the first year of the table, with dividends reinvested, e.g. 61. A value of 150 is a cumulative total shareholder return (TSR) of 50%.

peerGroupTsrValue: number

Value of a fixed 100 USD investment in the peer group, calculated as for companyTsrValue, e.g. 95. null for a smaller reporting company.

netIncomeUSD: number

GAAP net income or net loss of the company for the fiscal year, in USD, e.g. 405000000. Values printed in thousands or millions are converted to USD.

companySelectedMeasureValue: number

Value of the company-selected measure for the fiscal year, in the unit of companySelectedMeasureUnit, e.g. 9744000000. USD values printed in thousands or millions are converted to USD.

annualIncentive: object

Annual cash incentive (annual bonus) for the last fiscal year, from the Compensation Discussion and Analysis (CD&A).

planName: string

Name of the annual incentive plan, as printed, e.g. Annual Incentive Plan.

payoutPctOfTarget: number

Payout of the annual incentive as a percentage of target, as printed, e.g. 66. When the proxy statement gives a company-wide funding or payout percentage, this field holds it. Otherwise it holds the payout of the CEO. This field is null when the proxy statement gives only a range of payouts. 100 is a payout at target.

metrics: array of objects

Performance measures of the corporate or CEO scorecard of the annual incentive, with weights and goals as printed.

name: string

Name of the measure, as printed, e.g. Net Sales.

category: string

Category of the measure. strategic_or_individual covers individual, strategic and operational goals. esg covers environmental, social and governance goals. Possible values: revenue, earnings_per_share, ebitda, operating_income, net_income, pretax_income, free_cash_flow, operating_cash_flow, gross_margin, operating_margin, return_on_capital, relative_tsr, absolute_tsr, stock_price, strategic_or_individual, esg, customer, safety, other.

Performance measures of the awards granted in the last fiscal year.

Name of the measure, as printed, e.g. Adjusted earnings per share growth (EPSG).

category: string

Category of the measure. relative_tsr is the TSR of the company compared with an index or a peer group. When relative TSR changes the payout of another measure up or down (a modifier), the measure is in this list with weightPct null. Possible values: revenue, earnings_per_share, ebitda, operating_income, net_income, pretax_income, free_cash_flow, operating_cash_flow, gross_margin, operating_margin, return_on_capital, relative_tsr, absolute_tsr, stock_price, strategic_or_individual, esg, customer, safety, other.

weightPct: number

Weight of the measure in percent, e.g. 50.

performancePeriodYears: number

Length of the performance period in years, e.g. 3. When the measures of the award have different periods, this field holds the longest period. An award with only one-year performance periods has the value 1.

relativeTsrComparator: string

Index or peer group for the relative TSR measure, as printed, e.g. S&P Telecom Select Industry Index.

payoutRangeMinPct: number

Lowest payout as a percentage of the target number of units, usually 0, e.g. 0.

payoutRangeMaxPct: number

Highest payout as a percentage of the target number of units, e.g. 250.

ceoLtiSharePct: number

Share of the long-term incentive award value of the CEO that the company granted as performance-based awards, in percent, as printed, e.g. 60.

completedCycle: object

Performance cycle that ended with or just before the last fiscal year, as certified in the proxy statement. When the cycle has separate grants for several measures, the grant for relative TSR is used.

performancePeriod: string

Performance period of the cycle, as printed, e.g. fiscal 2024-2026.

payoutPct: number

Certified payout as a percentage of the target number of units, e.g. 0.

relativeTsrPercentile: number

Percentile rank of the company TSR in the comparator group for the cycle, e.g. 42.

discretion: object

Use of discretion by the compensation committee for the last fiscal year. Discretion changes a payout that the formula of the plan produced, or pays a bonus outside the plan.

annualIncentiveAdjustment: string

Effect of discretion on the annual incentive. no_adjustment when the proxy statement states that the committee did not use discretion. Possible values: increased, decreased, no_adjustment, not_stated.

longTermIncentiveAdjustment: string

Effect of discretion on the payout of performance-based equity awards. Possible values: increased, decreased, no_adjustment, not_stated.

description: string

Short description of the discretion and the reason, at most 400 characters.

Bonuses paid outside the formula of a plan, for example a special recognition bonus or a sign-on bonus.
