Severance & Change in Control Data API

The Severance & Change in Control Data API shows what the top executives of a public company receive when their employment ends, when the company is sold or when they retire, and the cost to the company. The data covers the severance, change in control and retirement benefits of top executives from 2007 to the present. Each record covers one proxy statement. Search queries on any field return the matching records in JSON format through one API endpoint.

The API extracts the table of potential payments upon termination or change in control, the terms of the severance and change in control agreements, the retirement plans of the executives with the pension and deferred compensation balances, and the agreements with executives who left the company. The records show the cost of an acquisition to the company, the agreements that pay without a job loss, and the retirement liabilities that the company owes its executives.

The data comes from proxy statements filed on SEC Form DEF 14A. A company that requests proxies from its shareholders files a proxy statement before the shareholder meeting. The proxy statement reports the pay of the named executive officers (NEOs), usually the chief executive officer (CEO), the chief financial officer and the three other executives with the highest pay. It also estimates the payments each NEO would receive if employment ended on the last business day of the fiscal year. The SEC requires these estimates for fiscal years that end on or after December 15, 2006.

The data is extracted from the text and the tables of the proxy statement: the Compensation Discussion and Analysis, the Summary Compensation Table, the Pension Benefits table, the Nonqualified Deferred Compensation table, the section on potential payments upon termination or change in control and the sections on employment and separation agreements. The data is provided in a structured JSON format. The extracted information includes:

  • Estimated payments per NEO and termination scenario: termination without cause, termination for good reason, change in control with and without termination, death, disability and retirement, split into cash severance, bonus, equity awards, benefits and total
  • Date and share price that the estimates use
  • Severance and change in control agreements and plans: covered NEOs, severance multiple, change in control multiple and the pay that the multiples apply to
  • Change in control trigger type (single, double or modified single), protection period after a change in control, and months of continued health benefits
  • Treatment of the golden parachute excise tax: gross-up, cutback, best net or full payment
  • Release of claims, non-compete period and non-solicitation period
  • Retirement plans of the executives: supplemental executive retirement plans (SERPs), excess and restoration plans, pension plans and deferred compensation plans, with the benefit formula
  • Rows of the Pension Benefits table and the Nonqualified Deferred Compensation table per NEO and plan
  • Change in pension value and above-market deferred compensation earnings per NEO from the Summary Compensation Table
  • Separation, retirement, transition and consulting agreements with former executives, with cash severance and consulting fees
  • Short quotes from the proxy statement that support key values

Search and retrieve the severance and change in control data of proxy statements by sending POST HTTP requests with search parameters as JSON-formatted payload to the following API endpoint:

Authentication

To authenticate your API requests, use the API key available in your user profile. You can use your API key in one of two ways. Choose the method that best fits your implementation:

  • Authorization Header: Include your API key as an Authorization header in your POST requests. For instance, before sending a POST request to https://api.sec-api.io/severance-change-in-control, ensure the header is set as follows: Authorization: YOUR_API_KEY.
  • Query Parameter: Alternatively, append your API key directly to the URL as a query parameter. For example, when making POST requests, use the URL https://api.sec-api.io/severance-change-in-control?token=YOUR_API_KEY instead of the base endpoint.

Request Parameters

Search the severance and change in control data of proxy statements by sending a search query to the API. All fields of the extracted data are searchable. For a complete list of searchable fields, refer to the Response Structure section below. Send a search query as a JSON-formatted payload to the API using the structure explained below.

Request parameters:

query: string

Your search criteria in the format field:value defining the fields to search in and the values to search for in those fields. The query is written in Lucene syntax and supports boolean operators (AND, OR, NOT), range queries across date and number fields using square brackets ([, ]), wildcards (*) and search expression grouping with normal brackets ((, )). More information on Lucene is available here. Query examples are available below.

from: integer

Specifies the starting position of your results, allowing for pagination. For instance, set from to 50 to skip the first 50 results. Default: 0. Maximum: 10,000, which is also the cap for the maximum number of results returned per query. To retrieve all results in your search universe, increment from by the value of the size parameter (e.g., 50) until no more results are returned or the 10,000 limit is reached. For example, use 0, 50, 100, and so on. If your query locates more than 10,000 results, consider narrowing your search by refining your filter criteria, such as using a date range filter to iterate over months or years. One approach would be to search for items with a filedAt date range filter, e.g., filedAt:[2025-01-01 TO 2025-01-31] (all filings from January 2025), then paginate through the results by incrementing from, and once completed, repeat the process for the next month, and so on.

size: integer

The number of results to be returned per request. Default: 50. Maximum: 50.

sort: array

An array of objects that specify how the returned results are sorted. For example, [{ "filedAt": { "order": "desc" } }] sorts the results by the filing date, most recent filings first. Set order to asc to sort in ascending order.

Request Examples

Find all proxy statements filed in 2026 with a severance or change in control agreement that pays 2.5 times pay or more after a change in control, with the result sorted by the filing date, starting with the most recent filings. A high multiple raises the cost of an acquisition for the buyer. Increment the from parameter by 50 on each subsequent request to paginate through the results.

Find all proxy statements with a single trigger or modified single trigger arrangement, or with an excise tax gross-up. A single trigger pays on the change in control alone, without a job loss. With a gross-up, the company pays the excise tax on golden parachute payments for the executive. Proxy advisors oppose both practices.

Response Structure

Response type: JSON

The API response represents a JSON object with two fields: total (object) and data (array). The total.value field indicates the total number of results matching your search query. The data array holds up to 50 items per request. Each item represents the extracted data from one proxy statement filed on Form DEF 14A.

The data contains only facts that the proxy statement states. A value of null or not_stated, or an empty array, means that the proxy statement does not state the fact. The amounts in potentialPayments are estimates that the company calculates for a termination on one date, not payments made. A dash in a table is 0. Amounts are in USD as printed. Dates use the format YYYY-MM-DD, or YYYY-MM and YYYY when the text gives only the month or the year. Each item has the following structure:

accessionNo: string

Accession number of the filing, e.g. 0001308179-26-000394.

formType: string

EDGAR form type of the filing. Possible values: DEF 14A.

filedAt: date

Date and time at which SEC EDGAR accepted the filing, e.g. 2026-09-18T09:00:38-04:00.

periodOfReport: date

Period of report as stated in the EDGAR header of the filing, e.g. 2026-10-28. For a proxy statement on Form DEF 14A, this is usually the date of the shareholder meeting. This field is null when the EDGAR header gives no period.

entities: array of objects

Companies listed in the EDGAR header of the filing. The company that files the proxy statement and holds the meeting is the first entity, marked (Filer).

cik: string

Central Index Key (CIK) of the entity, without leading zeros, e.g. 76334.

ticker: string

Trading symbol of the common stock of the entity, e.g. PH. This field is null when the entity has no symbol.

companyName: string

Name of the entity as in EDGAR, with its role in the filing in brackets, for example (Filer), e.g. Parker-Hannifin Corp (Filer).

irsNo: string

Employer identification number of the entity, assigned by the Internal Revenue Service (IRS), e.g. 340451060.

fiscalYearEnd: string

Last day of the fiscal year of the entity, in the format MMDD, e.g. 0630.

stateOfIncorporation: string

Code of the state or country in which the entity is incorporated, e.g. OH.

sic: string

Standard Industrial Classification (SIC) code and industry title of the entity, as in EDGAR, e.g. 3490 Miscellaneous Fabricated Metal Products.

act: string

Securities law under which the entity files, as in EDGAR, e.g. 34. 34 is the Securities Exchange Act of 1934.

fileNo: string

SEC file number of the entity, e.g. 001-04982.

filmNo: string

Film number that SEC EDGAR assigned to the filing document of the entity, e.g. 261388861.

meetingDate: date

Date of the shareholder meeting, e.g. 2026-10-28.

fiscalYear: integer

Fiscal year covered by the pay disclosure, e.g. 2026. A proxy statement filed in October 2026 by a company with a June fiscal year end usually covers fiscal year 2026.

url: string

URL of the main filing document on SEC EDGAR.

potentialPayments: object

Table "Potential Payments upon Termination or Change in Control". The table estimates what each named executive officer (NEO) would receive if employment ended on a set date for each type of termination. The amounts are estimates, not payments made.

asOfDate: date

Date on which the table assumes that employment ends, usually the last business day of the fiscal year, e.g. 2026-06-30.

stockPriceUSD: number

Share price that the table uses to value equity awards, as printed, e.g. 978.12.

payments: array of objects

One item per NEO and termination scenario, in the order of the table. A dash in the table is 0. A blank cell or a cell marked "not eligible" is null.

executiveName: string

Name of the NEO as printed, e.g. Jennifer A. Parmentier. When the table prints only the last name, use the full name from the Summary Compensation Table.

scenario: string

Type of termination, mapped from the column or row heading. without_cause_or_good_reason is used when the table combines both. cic_with_termination is a termination without cause or for good reason in connection with a change in control. cic_without_termination is a change in control without a termination. Possible values: without_cause, good_reason, without_cause_or_good_reason, cic_with_termination, cic_without_termination, death, disability, death_or_disability, retirement, voluntary_resignation, for_cause, other.

scenarioLabel: string

Heading of the scenario as printed in the table, e.g. Payments upon Death.

cashSeveranceUSD: number

Cash severance based on salary or salary and bonus, as printed, e.g. 506731.

bonusUSD: number

Annual or pro rata bonus paid on termination, when the table shows it in a separate line or column, e.g. 1100563.

equityAccelerationUSD: number

Value of stock options, restricted stock and performance awards that vest early or continue to vest, e.g. 38946806.

benefitsUSD: number

Value of continued health and welfare benefits, outplacement and other benefits, e.g. 3400000.

otherUSD: number

Sum of all other amounts that the table shows for the scenario, for example retirement plan enhancements or tax payments, e.g. 8610986. This value is calculated from the printed amounts.

totalUSD: number

Total for the NEO and scenario, as printed, e.g. 50957792. This field is null when the table prints no total.

severanceArrangements: array of objects

Agreements and plans that pay severance or change in control benefits to the NEOs: employment agreements, severance plans, change in control agreements and plans, and the change in control terms of equity plans. One item per agreement or plan. An agreement with one NEO is one item; a plan that covers several NEOs is one item.

name: string

Name of the agreement or plan as printed, for example "Executive Severance Plan", e.g. Change in Control Severance Agreements.

arrangementType: string

Kind of arrangement. cic_agreement is an individual change in control agreement and cic_plan a change in control plan for a group of executives. equity_plan holds the change in control terms of equity awards. other covers, for example, individual severance or retention agreements. Possible values: employment_agreement, severance_plan, cic_agreement, cic_plan, equity_plan, other, not_stated.

executives: array of strings

Names of the NEOs covered, as printed, e.g. ["Jennifer A. Parmentier"]. Empty when the proxy statement names no NEO for the arrangement.

severanceMultiple: number

Multiple of pay for a termination without cause or for good reason outside a change in control, e.g. 2. Two times salary and bonus equals 2. Twenty-four months of base salary also equals 2. When the multiple differs by executive, use the value for the chief executive officer (CEO).

cicMultiple: number

Multiple of pay for a qualifying termination in connection with a change in control, e.g. 3. When the multiple differs by executive, use the value for the CEO.

multipleBase: string

Pay that the multiples apply to. salary_and_target_bonus is base salary plus target annual bonus. When the two multiples apply to different pay, use the pay of cicMultiple. Possible values: salary, salary_and_target_bonus, salary_and_average_bonus, salary_and_actual_bonus, other, not_stated.

cicTriggerType: string

Event that pays the change in control benefits. single: the change in control alone. double: the change in control and a termination without cause or for good reason within a set period. modified_single: the change in control and a voluntary resignation in a set window. Possible values: single, double, modified_single, not_stated.

cicProtectionMonths: number

Number of months after a change in control in which a termination pays the change in control benefits, e.g. 36.

benefitsContinuationMonths: number

Number of months of continued health or welfare benefits after a termination, e.g. 36. When the period differs by scenario, use the longest period.

exciseTaxTreatment: string

Treatment of the excise tax on golden parachute payments under Internal Revenue Code Sections 280G and 4999. gross_up: the company pays the tax for the executive. cutback: the payment is reduced to the limit. best_net: the executive gets the reduced or the full payment, whichever is better after tax. full_payment: the executive gets the full payment and pays the tax. Possible values: gross_up, cutback, best_net, full_payment, not_stated.

releaseRequired: boolean

true when the severance requires the executive to sign a release of claims. This field is null when the proxy statement does not state it.

nonCompeteMonths: number

Length of the non-compete period after employment ends, in months, e.g. 12.

nonSolicitMonths: number

Length of the non-solicitation period after employment ends, in months, e.g. 12.

retirementPlans: array of objects

Retirement and deferral plans in which the NEOs participate and that the proxy statement describes: pension plans, supplemental executive retirement plans (SERPs), excess or restoration plans and nonqualified deferred compensation plans. 401(k) plans are not included.

planName: string

Name of the plan as printed, e.g. Parker Defined Benefit Pension Plan.

planType: string

Kind of plan. serp is a pension plan only for executives. excess_restoration pays the benefits that tax limits remove from a qualified plan. qualified_pension is a tax-qualified defined benefit plan. deferred_compensation is a plan in which executives defer salary or bonus. Possible values: serp, excess_restoration, qualified_pension, deferred_compensation, other, not_stated.

status: string

frozen when the plan is closed to new participants or benefits no longer grow. Possible values: active, frozen, not_stated.

participants: array of strings

Names of the NEOs who participate, as printed, e.g. ["Todd M. Leombruno"].

benefitFormula: string

Benefit formula or company contribution rule in short words, at most 300 characters.

pensionBenefits: array of objects

Rows of the Pension Benefits table: one item per NEO and plan.

Column "Change in Pension Value and Nonqualified Deferred Compensation Earnings" of the Summary Compensation Table for the most recent fiscal year: one item per NEO. Empty when the table has no such column.

departureDate: date

Date on which the executive left the position or the company, e.g. 2025-10-20.

consultingFeesUSD: number

Consulting or advisory fees under the agreement, as printed. When the proxy statement states a monthly fee and a term, the fee per month.

consultingTermMonths: number

Length of the consulting or transition period, in months, e.g. 12.

summary: string

Main terms in short words, at most 500 characters.

evidence: object
