Related Party Transactions Data API

The Related Party Transactions Data API shows which insiders of a public company receive money or other value from the company outside their regular pay. It also shows how the company controls these dealings. The data covers the related party transactions of public companies from 1994 to the present. Each record covers one proxy statement. Search queries on any field return the matching records in JSON format through one API endpoint.

The API extracts each reported transaction with the related person. It extracts the relationship, the type of transaction, the amount and the approval. It also extracts the rules that the company applies to approve these transactions. These rules start in 2007, when the SEC first required this disclosure. It extracts the family ties among directors and officers. It extracts the business ties that the board considered when it decided which directors are independent. The records of one company over several years show how the dealings with its insiders change.

The data comes from proxy statements filed on SEC Form DEF 14A. A company that requests proxies from its shareholders files a proxy statement before the shareholder meeting. The SEC requires the proxy statement to report each transaction since the start of the last fiscal year that exceeds $120,000. Before 2007, the threshold was $60,000. A director, an executive officer, an owner of more than 5% of the voting shares or a family member of one of these persons must have a material interest in the transaction. Examples are the employment of a relative of the CEO, a lease of a building that a director owns or sales to a company that the controlling shareholder owns.

The data is extracted from the text of the proxy statement. It covers the section on related person transactions, the description of the review policy, the director biographies, the section on compensation committee interlocks and insider participation and the section on director independence. The data is provided in a structured JSON format. The extracted information includes:

  • Each related person transaction: the related person, the relationship to the company, the director, officer or 5% holder through whom the person is related, the type of transaction, a short description, the amount as printed and in USD, the period and the approval
  • A statement that the company had no related person transactions
  • The policy for the review of related person transactions: approving committee, amount threshold, written or not, categories approved in advance, ratification and the factors that the committee considers
  • Family relationships among directors, director nominees and executive officers
  • Compensation committee interlocks and insider participation: committee members, members who are or were officers, interlocks with other companies and members with related transactions
  • Director independence: number of directors, number of independent directors, directors who are not independent and the relationships that the board considered
  • Agreements under which shareholders name directors, with the directors named
  • Loans to directors and executive officers, including loans of a bank subsidiary in the normal course of business
  • Short quotes from the proxy statement that support key values

Authentication

To authenticate your API requests, use the API key available in your user profile. You can use your API key in one of two ways. Choose the method that best fits your implementation:

  • Authorization Header: Include your API key as an Authorization header in your POST requests. For instance, before sending a POST request to https://api.sec-api.io/related-party-transactions, ensure the header is set as follows: Authorization: YOUR_API_KEY.
  • Query Parameter: Alternatively, append your API key directly to the URL as a query parameter. For example, when making POST requests, use the URL https://api.sec-api.io/related-party-transactions?token=YOUR_API_KEY instead of the base endpoint.

Request Parameters

Search the related party transaction data of proxy statements by sending a search query to the API. All fields of the extracted data are searchable. For a complete list of searchable fields, refer to the Response Structure section below. Send a search query as a JSON-formatted payload to the API using the structure explained below.

Request parameters:

query: string

Your search criteria in the format field:value defining the fields to search in and the values to search for in those fields. The query is written in Lucene syntax and supports boolean operators (AND, OR, NOT), range queries across date and number fields using square brackets ([, ]), wildcards (*) and search expression grouping with normal brackets ((, )). More information on Lucene is available here. Query examples are available below.

from: integer

Specifies the starting position of your results, allowing for pagination. For instance, set from to 50 to skip the first 50 results. Default: 0. Maximum: 10,000, which is also the cap for the maximum number of results returned per query. To retrieve all results in your search universe, increment from by the value of the size parameter (e.g., 50) until no more results are returned or the 10,000 limit is reached. For example, use 0, 50, 100, and so on. If your query locates more than 10,000 results, consider narrowing your search by refining your filter criteria, such as using a date range filter to iterate over months or years. One approach would be to search for items with a filedAt date range filter, e.g., filedAt:[2025-01-01 TO 2025-01-31] (all filings from January 2025), then paginate through the results by incrementing from, and once completed, repeat the process for the next month, and so on.

size: integer

The number of results to be returned per request. Default: 50. Maximum: 50.

sort: array

An array of objects that specify how the returned results are sorted. For example, [{ "filedAt": { "order": "desc" } }] sorts the results by the filing date, most recent filings first. Set order to asc to sort in ascending order.

Request Examples

Find all proxy statements filed in 2026 that report the employment of a family member of a director, an executive officer or a 5% holder. Sort the result by the filing date, starting with the most recent filings. Increment the from parameter by 50 on each subsequent request to paginate through the results.

Find all proxy statements that report a transaction of $1 million or more with a company, fund or trust that a related person owns or controls. Such transactions move large amounts between the company and its insiders.

Response Structure

Response type: JSON

The API response represents a JSON object with two fields: total (object) and data (array). The total.value field indicates the total number of results matching your search query. The data array holds up to 50 items per request. Each item represents the extracted data from one proxy statement filed on Form DEF 14A.

The data contains only facts that the proxy statement states. A value of null or not_stated or an empty array means that the proxy statement does not state the fact. Each transaction keeps the amount as printed in amountText. amountUSD is null when the proxy statement gives no single amount, for example "less than $200,000". When the proxy statement lists several pay components of one person and no total, amountUSD is their sum and description says so. Dates use the format YYYY-MM-DD. Amounts are in USD. Each item has the following structure:

accessionNo: string

Accession number of the filing, e.g. 0001104659-26-112176.

formType: string

EDGAR form type. Possible values: DEF 14A.

filedAt: date

Date and time at which SEC EDGAR accepted the filing, e.g. 2026-09-30T10:00:36-04:00.

periodOfReport: date

Period of report as stated in the EDGAR header of the filing, e.g. 2026-11-17. For a proxy statement on Form DEF 14A, this is usually the date of the shareholder meeting. This field is null when the EDGAR header gives no period.

entities: array of objects

Companies named in the EDGAR header of the filing. A proxy statement on Form DEF 14A filed by the company has one entity, marked (Filer). The company that holds the meeting is always the first entity.

cik: string

Central Index Key (CIK) of the entity, without leading zeros, e.g. 1001250.

ticker: string

Trading symbol of the common stock of the entity, e.g. EL. This field is null when the entity has no symbol.

companyName: string

Name of the entity as in EDGAR, with its role in the filing in brackets, for example (Filer), e.g. ESTEE LAUDER COMPANIES INC (Filer).

irsNo: string

Employer identification number of the entity, assigned by the Internal Revenue Service (IRS), e.g. 112408943.

fiscalYearEnd: string

Last day of the fiscal year of the entity, in the format MMDD, e.g. 0630.

stateOfIncorporation: string

Code of the state or country in which the entity is incorporated, e.g. DE.

sic: string

Standard Industrial Classification (SIC) code and industry title of the entity, as in EDGAR, e.g. 2844 Perfumes, Cosmetics & Other Toilet Preparations.

act: string

Securities law under which the entity files, as in EDGAR, e.g. 34. 34 is the Securities Exchange Act of 1934.

fileNo: string

SEC file number of the entity, e.g. 001-14064.

filmNo: string

Film number that SEC EDGAR assigned to the filing document of the entity, e.g. 261425814.

meetingDate: date

Date of the shareholder meeting, e.g. 2026-11-17.

url: string

URL of the main filing document on SEC EDGAR.

noTransactionsReported: boolean

true when the proxy statement states that the company had no related person transactions that it must report for the period. false when the proxy statement reports at least one transaction. This field is null when the proxy statement does not say.

relatedPersonTransactions: array of objects

Transactions between the company and a related person that the proxy statement reports, one item per transaction. A related person is a director, a director nominee, an executive officer, an owner of more than 5% of a class of voting shares, or an immediate family member of one of these persons. The SEC requires the company to report each transaction since the start of the last fiscal year that exceeds $120,000 and in which the related person has a direct or indirect material interest.

relatedPerson: string

Name of the related person or entity, as printed, e.g. Ronald S. Lauder.

relationship: string

Relationship of the related person to the company, as printed, e.g. daughter-in-law of Mr. G. Lauder and Laura H. Lauder.

relationshipType: string

Type of the relationship. director includes director nominees. executive_officer includes an executive officer who is also a director. five_percent_holder is an owner of more than 5% of the voting shares who is not a director or an executive officer. immediate_family_member is a relative of a director, an executive officer or a 5% holder. affiliated_entity is a company, fund or trust that a related person owns or controls. Possible values: director, executive_officer, five_percent_holder, immediate_family_member, affiliated_entity, other, not_stated.

relatedInsider: string

Name of the director, executive officer or 5% holder to whom the related person is related, e.g. Gary M. Lauder. This field is null when the related person is the insider.

transactionType: string

Type of the transaction. employment covers the employment, pay and post-employment payments of a related person who is not a named executive officer, for example a relative of a director. lease covers leases of real estate or other property. professional_services covers legal, consulting, banking and similar services. commercial covers purchases and sales of goods or services in the normal course of business. aircraft covers the use, lease or sale of aircraft. financing covers loans, guarantees, share issues and investments. registration_rights covers registration rights and stockholder agreements. charitable covers donations to organizations of a related person. Possible values: employment, lease, professional_services, commercial, aircraft, financing, registration_rights, charitable, other, not_stated.

description: string

Short summary of the transaction in neutral words.

amountText: string

Amount of the transaction or of the interest of the related person, as printed, e.g. salary $650,000; bonus $474,750.

amountUSD: number

Amount of the transaction or of the interest of the related person in USD, as stated, e.g. 1124750. For the employment of a relative, this is the total pay for the period. When the proxy statement gives several pay components and no total, this is their sum. For loans and notes, this is the largest amount outstanding during the period. This field is null when the proxy statement gives no single amount.

period: string

Period to which the amount refers, as printed, e.g. fiscal 2026.

isOngoing: boolean

true when the proxy statement states that the transaction or arrangement continues.

approvalStatus: string

Review of the transaction as stated: approved, ratified (approved after the transaction started), reviewed (reviewed, or "approved or ratified" without a statement of which), not_stated. Possible values: approved, ratified, reviewed, not_stated.

approvingBody: string

Board committee or other body that approved, ratified or reviewed the transaction, as printed, e.g. Audit Committee.

transactionPolicy: object

Policy for the review, approval or ratification of related person transactions. The SEC requires the company to describe this policy.

hasPolicy: boolean

true when the proxy statement describes a policy or procedure for the review of related person transactions.

isWritten: boolean

true when the policy is in writing. false when the proxy statement states that the policy is not in writing.

approvingBody: string

Committee or body that reviews and approves related person transactions, as printed, e.g. Audit Committee.

Amount in USD above which a transaction falls under the policy, as stated, e.g. 120000.

Family relationships among directors, director nominees and executive officers. The company must disclose relationships by blood, marriage or adoption no more remote than first cousin.

hasFamilyRelationships: boolean

true when the proxy statement reports a family relationship. false when it states that there is none.

relationships: array of objects

Family relationships that the proxy statement reports. One item per pair of persons.

person: string

Name of the first person, as printed, e.g. Jane Lauder.

relatedTo: string

Name of the second person, as printed, e.g. Ronald S. Lauder.

relationship: string

Family relationship of the first person to the second person, as printed, e.g. daughter.

compensationCommitteeInterlocks: object

Compensation committee interlocks and insider participation. An interlock exists when an executive officer of the company serves on the compensation committee or the board of another company whose executive officer serves on the compensation committee of this company. An interlock also exists when an executive officer of the company serves on the compensation committee of another company whose executive officer is a director of this company.

members: array of strings

Names of the compensation committee members during the last fiscal year, as printed in the interlocks section, e.g. ["Charlene Barshefsky"].

hasInsiderParticipation: boolean

true when a member of the compensation committee was an officer or employee of the company during the fiscal year or was an officer of the company before. false when the proxy statement states that no member was.

true when the proxy statement reports an interlock. false when it states that there is none.
