ESG & Risk Oversight Data API

The ESG & Risk Oversight Data API shows how the board of a public company oversees sustainability, cybersecurity, artificial intelligence (AI), political spending and workforce risks. The data covers the board oversight of ESG and other risks at public companies from 2010 to the present. Each record covers one proxy statement. Search queries on any field return the matching records in JSON format through one API endpoint.

The API extracts the board body and the committees that oversee each topic, the climate targets and the reporting frameworks that the company names, the number of employees, the gender and racial or ethnic composition of the board, and the ESG metrics in the incentive plans of the executive officers. The records of one company over several years show how its oversight of these risks changes.

The data comes from proxy statements filed on SEC Form DEF 14A. A company that asks shareholders to vote by proxy files a proxy statement before the shareholder meeting. Since February 28, 2010, SEC rules require the proxy statement to describe the role of the board in risk oversight. Many companies use the corporate governance section of the proxy statement to state which board committee is responsible for each risk, how often management reports to it, and which goals the company has set.

The data is extracted from the text of the proxy statement: the corporate governance section, the board's role in risk oversight, the committee descriptions, the sustainability and human capital sections, the director skills and diversity tables, the CEO pay ratio and the Compensation Discussion and Analysis. The data is provided in a structured JSON format. The extracted information includes:

  • Board oversight of ESG and sustainability matters: full board or committee, the committee names, a dedicated sustainability committee, the management lead and the title of the sustainability report
  • Board oversight of cybersecurity: committees, how often management reports, the reporting officer and the directors with cybersecurity expertise
  • Board oversight of AI risk and use
  • Policy, oversight and public disclosure of political contributions and lobbying, and shareholder proposals on the topic
  • Board oversight of human capital management and the workforce topics discussed, such as culture, talent development and pay equity
  • Number of employees with the date and scope of the count, and the share of women and of racially or ethnically diverse employees
  • Climate targets: net zero year, emission reduction targets with scopes, base year and target year, and the reporting frameworks named, such as TCFD, SASB and GRI
  • Board diversity: the number and percentage of women and of racially or ethnically diverse directors, from a board diversity matrix or other disclosure
  • ESG metrics in the annual and long-term incentive plans of the executive officers, with their weights
  • Short quotes from the proxy statement that support key values

API Endpoint

Search and retrieve the ESG and risk oversight data of proxy statements by sending POST HTTP requests with search parameters as JSON-formatted payload to the following API endpoint:

Authentication

To authenticate your API requests, use the API key available in your user profile. You can use your API key in one of two ways. Choose the method that best fits your implementation:

  • Authorization Header: Include your API key as an Authorization header in your POST requests. For instance, before sending a POST request to https://api.sec-api.io/esg-oversight, ensure the header is set as follows: Authorization: YOUR_API_KEY.
  • Query Parameter: Alternatively, append your API key directly to the URL as a query parameter. For example, when making POST requests, use the URL https://api.sec-api.io/esg-oversight?token=YOUR_API_KEY instead of the base endpoint.

Request Parameters

Search the ESG and risk oversight data of proxy statements by sending a search query to the API. All fields of the extracted data are searchable. For a complete list of searchable fields, refer to the Response Structure section below. Send a search query as a JSON-formatted payload to the API using the structure explained below.

Request parameters:

query: string

Your search criteria in the format field:value defining the fields to search in and the values to search for in those fields. The query is written in Lucene syntax and supports boolean operators (AND, OR, NOT), range queries across date and number fields using square brackets ([, ]), wildcards (*) and search expression grouping with normal brackets ((, )). More information on Lucene is available here. Query examples are available below.

from: integer

Specifies the starting position of your results, allowing for pagination. For instance, set from to 50 to skip the first 50 results. Default: 0. Maximum: 10,000, which is also the cap for the maximum number of results returned per query. To retrieve all results in your search universe, increment from by the value of the size parameter (e.g., 50) until no more results are returned or the 10,000 limit is reached. For example, use 0, 50, 100, and so on. If your query locates more than 10,000 results, consider narrowing your search by refining your filter criteria, such as using a date range filter to iterate over months or years. One approach would be to search for items with a filedAt date range filter, e.g., filedAt:[2025-01-01 TO 2025-01-31] (all filings from January 2025), then paginate through the results by incrementing from, and once completed, repeat the process for the next month, and so on.

size: integer

The number of results to be returned per request. Default: 50. Maximum: 50.

sort: array

An array of objects that specify how the returned results are sorted. For example, [{ "filedAt": { "order": "desc" } }] sorts the results by the filing date, most recent filings first. Set order to asc to sort in ascending order.

Request Examples

Find all proxy statements filed in 2026 in which a board committee oversees AI risk or use, alone or together with the full board, with the result sorted by the filing date, starting with the most recent filings. Increment the from parameter by 50 on each subsequent request to paginate through the results.

Find all proxy statements in which the incentive plans of the executive officers use ESG or human capital metrics and the company names the TCFD framework.

Response Structure

Response type: JSON

The API response represents a JSON object with two fields: total (object) and data (array). The total.value field indicates the total number of results matching your search query. The data array holds up to 50 items per request. Each item represents the extracted data from one proxy statement filed on Form DEF 14A.

The data contains only facts that the proxy statement states. A value of null or not_stated, or an empty array, means that the proxy statement does not state the fact. Many proxy statements refer to the annual report on Form 10-K or to a sustainability report for details; the dataset does not take values from these documents. Percentages are numbers from 0 to 100. Dates use the format YYYY-MM-DD, or YYYY-MM and YYYY when the text gives only the month or the year. Each item has the following structure:

accessionNo: string

Accession number of the filing, e.g. 0001628280-26-064909.

formType: string

EDGAR form type. The dataset covers definitive proxy statements on Form DEF 14A. Possible values: DEF 14A.

filedAt: date

Date and time at which SEC EDGAR accepted the filing, e.g. 2026-10-05T16:05:05-04:00.

periodOfReport: date

Period of report as stated in the EDGAR header of the filing, e.g. 2026-11-20. For a proxy statement on Form DEF 14A, this is usually the date of the shareholder meeting. This field is null when the EDGAR header gives no period.

entities: array of objects

Companies named in the EDGAR header of the filing. A proxy statement filed by the company has one entity, marked (Filer). The company that holds the meeting is always the first entity.

cik: string

Central Index Key (CIK) of the entity, without leading zeros, e.g. 106040.

ticker: string

Trading symbol of the common stock of the entity, e.g. WDC. This field is null when the entity has no symbol.

companyName: string

Name of the entity as in EDGAR, with its role in the filing in brackets, such as (Filer), e.g. WESTERN DIGITAL CORP (Filer).

irsNo: string

Employer identification number of the entity, assigned by the Internal Revenue Service (IRS), e.g. 330956711.

fiscalYearEnd: string

Last day of the fiscal year of the entity, in the format MMDD, e.g. 0703.

stateOfIncorporation: string

Code of the state or country in which the entity is incorporated, e.g. DE.

sic: string

Standard Industrial Classification (SIC) code and industry title of the entity, as in EDGAR, e.g. 3572 Computer Storage Devices.

act: string

Securities law under which the entity files, as in EDGAR, e.g. 34. 34 is the Securities Exchange Act of 1934.

fileNo: string

SEC file number of the entity, e.g. 001-08703.

filmNo: string

Film number that SEC EDGAR assigned to the filing document of the entity, e.g. 261440329.

meetingDate: date

Date of the shareholder meeting, e.g. 2026-11-20.

url: string

URL of the main filing document on SEC EDGAR.

esgOversight: object

Board oversight of environmental, social and governance (ESG) or sustainability matters.

oversightBody: string

Board body that oversees ESG and sustainability matters, as the proxy statement states. full_board when the full board keeps oversight, committee when one or more board committees have it, full_board_and_committee when the board keeps oversight and assigns parts of it to committees. Possible values: full_board, committee, full_board_and_committee, not_stated.

committees: array of strings

true when a board committee has sustainability, ESG, environment, social or public responsibility in its name or states these matters as its main purpose.

Title of the sustainability, ESG or impact report that the proxy statement refers to, as printed, e.g. 2025 Sustainability Report.

cybersecurityOversight: object

Board oversight of cybersecurity and information security risk.

Number of employees, as stated, e.g. 40000. When the proxy statement gives an approximate number, such as "approximately 143,950", the number is stored without the qualifier.

asOfDate: date

Date at which the number of employees was counted, as stated, e.g. 2026-07-03.

scope: string

Group of employees that the number covers, as printed, for example full-time employees worldwide, e.g. people worldwide across 24 countries.

womenPct: number

Percentage of women in the workforce, as stated, e.g. 72.

womenInLeadershipPct: number

Percentage of women in management or leadership positions, as stated, e.g. 50.

racialEthnicDiversePct: number

Percentage of racially or ethnically diverse employees, as stated. The proxy statement often limits this value to employees in the United States.

climate: object

Climate targets and the reporting frameworks that the proxy statement names.

netZeroYear: integer

Year by which the company aims to reach net zero greenhouse gas emissions, as stated, e.g. 2050.

emissionsTargets: array of objects

Targets to reduce greenhouse gas emissions. One item per target.

scopes: string

Emission scopes that the target covers, as printed, e.g. upstream materials emissions.

reductionPct: number

Reduction of emissions in percent, as stated, e.g. 20.

baseYear: integer

Base year of the target, e.g. 2024.

targetYear: integer

Year by which the target must be reached, e.g. 2030.

frameworks: array of strings

Gender and racial or ethnic composition of the board or the director nominees.

source: string

Source of the values. nasdaq_matrix is the board diversity matrix table of former Nasdaq Rule 5606. other_disclosure is a count or percentage in the text or a chart. Possible values: nasdaq_matrix, other_disclosure, not_stated.

asOfDate: date

Date of the values, as stated, e.g. 2026-09-21.

totalDirectors: integer

Number of directors or nominees that the values refer to, e.g. 9.

women: integer

Number of women, as stated, e.g. 3.

men: integer

Number of men, as stated, e.g. 6.

nonBinary: integer

Number of non-binary directors, as stated.

racialEthnicDiverse: integer

Number of racially or ethnically diverse directors, as stated, e.g. 3. When the proxy statement gives counts per race or ethnicity, for example in a board diversity matrix, this is the sum of all counts other than White and not disclosed (calculated value).

lgbtq: integer

Number of directors who identify as LGBTQ+, as stated, e.g. 1.

womenPct: number

Percentage of women, as stated, e.g. 33.

racialEthnicDiversePct: number

Percentage of racially or ethnically diverse directors, as stated, e.g. 25.

esgIncentivePay: object

ESG or sustainability metrics in the incentive pay of the executive officers.

true when the proxy statement states that an annual or long-term incentive plan uses ESG, sustainability or human capital metrics. false when it states that the plans use no such metrics.

metrics: array of objects

ESG metrics in the incentive plans. One item per metric.

name: string

Name of the metric, as printed, e.g. ESG measures.

plan: string

Incentive plan that uses the metric. Possible values: annual_incentive, long_term_incentive, other.

weightPct: number

Weight of the metric in percent, as stated, e.g. 20. The weight can refer to the full plan or to a part of it, such as a scorecard.

evidence: object

Short quotes from the proxy statement that support key values. Each key is the path of a field, e.g. esgOversight.committees, and each value is the quote.
